Duane Morris adds transactional Partner Amauri G Costa and private equity special counsel Scott Gluck

Amauri G Costa and Scott Gluck have Duane Morris’ Corporate Practice Group, as a partner and special counsel respectively, in the firm’s Washington, DC office.

Costa adds to Duane Morris’ corporate law capabilities in Washington, DC, as well as nationally and internationally, particularly with respect to Latin America. He joins Duane Morris from Bracewell & Giuliani LLP.
 
He advises clients in the energy, telecommunications, information technology and financial industries on transnational and domestic mergers and acquisitions, corporate law and project development, along with the interpretation of legal and regulatory environments in Latin America. He represents lenders and borrowers in domestic and multi-jurisdiction corporate and trade finance transactions, including facilities involving security interests in multiple jurisdictions in Europe, Asia and Latin America. Costa has experience representing clients intending to do business in Latin America, as well as Latin American and European companies doing business in the United States. Additionally, he represents several international banks in trade finance transactions supported by the US Export-Import Bank, other export credit agencies and private insurance providers, as well as advises on financial transactions involving multilateral lending institutions.
 
Costa earned his LLB from the Law School of the University of São Paulo in 1990, a specialisation in Brazilian corporate and commercial law from University Mackenzie in Brazil and an LLM from Queen Mary and Westfield College in London in 1995. He is a member of the District of Columbia Bar and is a licensed attorney in Brazil. A Brazilian national, Costa is a native Portuguese speaker and is also fluent in Spanish and French.
 
Gluck, who joins Duane Morris from Venable LLP, serves as outside regulatory counsel for the Association for Corporate Growth (ACG), the leading trade association for middle-market private equity funds. He also advises ACG’s Private Equity Regulatory Task Force (PERT), which interacts with Congress, the Securities and Exchange Commission and other federal agencies on behalf of middle-market private equity firms.
 
Gluck practices in the area of corporate law, focusing on the regulatory, compliance and corporate activities of private equity firms. He advises private equity firms on compliance issues, including those arising under the Investment Advisers Act of 1940 and other federal statutes. Gluck’s practice includes the formation of private funds, implementation of their ongoing compliance programs and corporate transactions. He has significant experience with federal, state and local "pay-to-play" rules regulating political involvement and fundraising activities by investment advisers.
 
Gluck is a 1996 graduate of Columbia University School of Law. He also holds an MBA from the University of Southern California and a BA from the University of California, Berkeley.
