McCarthy Denning advises Rockpool Acquisitions on IPO

McCarthy Denning has advised Rockpool Acquisitions (Rockpool) in relation to its admission to the Standard Listing segment of the main market of the London Stock Exchange and a related fundraising. Gross proceeds of GBP1,085,000 were raised through the fundraising.

Rockpool is a Special Purpose Acquisition Company (“SPAC”) founded in Northern Ireland and formed to undertake the acquisition of a business based there. Specifically, Rockpool is looking to acquire a highly ambitious, Northern Ireland-based company, with a valuation of up to GBP20 million, to provide that company with access to the deeper pools of capital that the public markets provide.

Corporate Partner, Eero Rautalahti, led the McCarthy Denning team which advised on all legal and corporate finance aspects of the listing, and which included, Corporate Lawyer Marilyn Heward-Mills, and Corporate Adviser Carina Loibl. McCarthy Denning chairman and head of corporate, Richard Beresford, is the chairman of Rockpool.

Eero Rautalahti, Corporate Partner at McCarthy Denning, says: “We are delighted to have advised Rockpool on its successful listing on the main market. With the specific objective of acquiring a company in the Northern Ireland market, we look forward to continuing our work with Rockpool as it progresses that ambition. We also believe there is untapped demand for IPO-related work in Northern Ireland and we look forward to developing our practice there over the coming months.”

Other advisers to Rockpool in respect of the listing were: PKF Littlejohn LLP as Auditors and Reporting Accountants; Abchurch Communications Limited as communications advisers; and Neville Registrars Limited as registrars.
