All States Ag Parts acquires Combine World

All States Ag Parts (ASAP), a supplier of replacement agricultural parts in North America and portfolio company of Kinderhook Industries, has acquired Combine World, a Canada-based supplier of new, used, and reconditioned farm and light construction equipment and replacement parts. Combine World, which specialises in alternative parts for combines, is ASAP’s sixth add-on acquisition.

The acquisition of Combine World, based in Saskatchewan, expands ASAP’s presence into Western Canada, providing ASAP with two strategic locations to serve the world’s 8th largest agricultural economy. ASAP previously purchased Ontario-based Fawcett Tractor Supply in November 2019.

“This is a great acquisition for us,” says John Dyke, CEO of All States Ag Parts. “Combine World complements our line of tractor parts being offered at Fawcett Tractor Supply and positions us to deliver tractor, combine and other agricultural parts to the farming community in Canada.”

Paul Cifelli, Managing Director at Kinderhook, says: “The Combine World acquisition demonstrates ASAP’s desire to expand both its Canadian footprint as well as its product offering. Combine World’s combine-focused product expertise will allow ASAP to offer a full suite of agricultural replacement parts to better serve its customers in the region.”

Former owner, Charlie Smith, will continue to operate Combine World during the transition period while also joining ASAP’s executive team. “Being part of All States Ag Parts is a great opportunity to improve our ability to take care of our customers. We’ll have access to our current combine parts inventory while also growing our tractor parts selection,” says Smith.

Monroe Moxness Berg PA served as legal counsel to ASAP. Financing for the transaction was provided by Maranon Capital.
