Hedge fund law firm Kleinberg Kaplan promotes three to partner

New York law firm Kleinberg, Kaplan, Wolff & Cohen has appointed Jared R Gianatasio, Jason W Soncini, and Christopher M Terry as partner at the firm.

Gianatasio has extensive experience representing market participants in the structuring and documentation of complex over-the-counter and exchange-traded derivatives transactions and documentation, including ISDA documentation. This includes drafting and negotiating highly structured derivative and repurchase agreements, master trading agreements/confirmations and other account documentation for derivatives and other financial products. He also represents fund managers on prime brokerage documentation and counterparty and other risk management matters relating to their trading relationships. Gianatasio also advises clients on a number of OTC derivatives, commodities, and securities regulatory and risk management issues, including developing regulatory compliance requirements under the Dodd-Frank Act and existing regulations of the CFTC.
 
Soncini advises clients on equity investments in public companies and various other transactional matters, including mergers and acquisitions, and general corporate and securities law matters. He has significant experience providing strategic guidance to investors and public and private companies and their boards of directors on proxy contests, consent solicitations, letter-writing campaigns, tender offers and hostile takeovers. Additionally, Soncini regularly advises hedge funds and other large investors in connection preparation of various regulatory filings, including Schedule 13Ds, Schedule 13Gs, Form 13Fs and Hart-Scott-Rodino filings, as well as reporting requirements and compliance with Section 16 of the Securities Exchange Act.
 
Terry concentrates his practice in the areas of real estate and real estate finance law, including joint venture transactions, real estate development, sales and acquisitions, financing, and leasing. He has significant experience advising a diverse group of clients, including owners, operators, developers, lenders, borrowers, landlords, tenants and investors in sophisticated transactions in and across the continental US and Hawaii.
