International law firm Eversheds has advised Wight Salad Group Limited, the UK tomato grower with operations in Europe and contracts with all of the major British food retailers, in relation to a strategic investment in Wight Salads by the Portuguese company RAR Sociedade de Controle (Holding) SA. The deal was completed for an undisclosed sum.

RAR Group (Grupo RAR) manages a wide range of companies covering five core business areas – food, packaging, real estate, services and tourism. The group has an annual turnover of approximately EUR612 million and employs around 2,600 people across Portugal, Germany, Spain, Poland and the UK.

‘This deal was very complicated and we greatly appreciated the assistance given by Eversheds,’ says Stuart Smith, chairman of Wight Salads. ‘The association with RAR Group will now allow significant investment which will enable us to grow our business in a short timescale.’

The Eversheds team was led out of the London office by corporate partner Mark Spinner, supported by associate Rachel Broquard, with help from the Eversheds Madrid office.

‘We are seeing more and more international deals going through with foreign investors looking for good quality companies that will allow them to expand and develop their operations,’ says Spinner. ‘Our ability to offer international and national networked law services as well as a specialist food law team was key to the deal.’

Eversheds worked alongside Barrocas Sarmento Neves in Portugal who provided Portuguese advice on the deal. Eversheds Birmingham team input property advice, with Manchester handling the tax element. RAR was advised by a team from Travers Smith in the UK lead by corporate partner Aaron Stocks with Cristina Ferreira of Telles de Abreu e Associados providing advice in relation to Portuguese law.
