McCarthy Denning advises Swedish tech consultancy on major UK investment

McCarthy Denning has acted for Tyréns AB and its UK subsidiaries on its acquisition of a stake in Hilson Moran Holdings Limited and its subsidiary, Hilson Moran Partnership Limited, which was previously backed by private equity investor Albion Capital.

Hilson Moran’s management team will remain as shareholders and the company will continue to operate under its existing brand name.
 
Established in Sweden in 1942, Tyréns AB is a global urban and rural planning company which specialises in urban development and infrastructure. The company’s acquisition of a stake in Hilson Moran – best known for its work in the UK on iconic buildings such as the Gherkin (30 St Mary Axe) and the Walkie Talkie (20 Fenchurch Street) – is Tyréns AB’s second strategic investment in the UK Engineering market.
 
McCarthy Denning provided advice at all stages of the transaction from heads of agreement, due diligence and preparation and negotiation of all major agreements and ancillary documentation. The team was led by Corporate Partner, June Paddock, assisted by Dean Harper with tax advice provided by Head of Tax, Fionnuala Lynch. Further support was provided by Corporate Partner, Eero Rautalahti, alongside Sumit Chakravorty and Abigail Marsden from Corporate/Commercial on due diligence team, Louise Skehan on Employment issues, John Dean on Property matters, and paralegal, Carina Loibl.
