British private equity investor Actis LLp is to acquire a 10 per stake in Brazilian renewable energy company Omega Energia in a deal worth around $147 million, according to a report by Private Equity Insights.
The report cites a securities filing as revealing that Actis has been granted call options to acquire shares at BRL13.50 per share by Tarpon Investimentos, which holds a controlling stake in the firm.
Completion of Actis’ deal to acquire a 10% stake in Omega will trigger a new shareholders agreement making the PE firm part of Omega’s controlling group.
As part of the deal, Actis has agreed to invest up to an additional BRL850 million in Omega at a purchase price of BRL16 per share. Were the capital increase to happen it would take place between 1 October, 2022, and 31 March, 2023.
