Private investment firm GI Partners is to acquire Atlas Technical Consultants, an environmental solutions provider, in an all-cash deal valued at nearly $1.05 billion, including debt, according to a report by Reuters.
Under the terms of the deal, which is expected to close in the second quarter of the year, Atlas shareholders will receive $12.25 per share in cash, over double the stock’s last closing price on Monday.
BofA Securities is serving as exclusive financial advisor to Atlas.
