Gemspring to acquire Goodyear’s Polymer Chemicals Business

Gemspring Capital Management, a middle-market private equity firm, has signed a definitive agreement to acquire the polymer chemicals business of The Goodyear Tire & Rubber Company through an affiliated entity.

The deal includes production facilities in Houston and Beaumont, Texas, and an R&D center in Akron, Ohio. Goodyear will retain its chemical operations in Niagara Falls, New York, and Bayport, Texas, along with rights to products made at those sites.

Based in Akron, Goodyear’s polymer chemicals unit supplies synthetic rubber to a range of industries, including tire manufacturing, packaging, adhesives, and medical products.

The transaction is expected to close by the end of 2025, pending regulatory approval and customary closing conditions.

Piper Sandler served as lead financial advisor to Gemspring. Greenhill & Co. also advised, with Kirkland & Ellis providing legal counsel.
