Advent to acquire insurance software provider Sapiens for $2.5bn

Private equity investment firm Advent International has agreed to acquire Sapiens International Corporation, a global SaaS-based insurance software provider, in an all-cash deal valuing the company at approximately $2.5bn.

Under the terms of the transaction, Sapiens shareholders will receive $43.50 per share – a premium of around 64% to the company’s unaffected share price prior to the announcement. Existing shareholder Formula Systems will retain a minority stake in the business.

The deal, which has unanimous approval from Sapiens’ board, is expected to close in Q4 2025 or early 2026, subject to regulatory and shareholder approvals. Upon completion, Sapiens will become a private company.

Advent plans to leverage its operational expertise and capital to accelerate Sapiens’ innovation in cloud-based insurance solutions, including AI-driven and SaaS products across life, pension, annuities, and property & casualty markets. The partnership aims to drive digital transformation for insurers globally, expanding Sapiens’ reach and product development.

Sapiens serves over 600 clients worldwide and employs approximately 2,800 people. Carlyle, the previous investor, will exit through the sale.

Financial advisors on the transaction include William Blair & Company for Sapiens and Citi for Advent.
