3i sells MAIT to DBAG for £143m, achieving 2.7x multiple

3i Group has agreed the sale of its stake in MAIT, a leading IT services provider for mid-market clients in the DACH region, to DBAG Fund VIII, advised by Deutsche Beteiligungs AG (DBAG) in a deal expected to generate £143m in gross proceeds.

The figure represents a 2.7x multiple of invested capital and an internal rate of return (IRR) of around 27%.

MAIT, headquartered in Rottweil, Germany, provides digitalisation solutions across Product Lifecycle Management (PLM), Enterprise Resource Planning (ERP) and IT services, serving over 7,000 mid-market customers, particularly in manufacturing.

Since 3i’s initial investment in 2021, the firm has worked closely with MAIT’s management to drive organic growth and execute a buy-and-build strategy, completing 14 acquisitions. During this period, MAIT’s EBITDA more than doubled, its recurring revenue share increased significantly, and the company expanded its geographic footprint across Germany, Austria, Switzerland and the Benelux. Strategic vendor partnerships with Siemens, PTC, abas and Comarch were also strengthened.

The deal is subject to customary regulatory approvals and is expected to close in Q4 2025.
