Lund International, a portfolio company of Highlander Partners, has acquired the Prestige Fender Flare assets of Empower Group. Prestige Fender Flares is a designer and producer of premium quality fender flares sold throughout the US. Co-founders Anthony Liu and Robert Chen, who have built Prestige into a leading provider of fender flares in the automotive aftermarket, will join Lund in a management capacity focusing on new product development.  Liu and Chen say: "We are excited to complete this transaction with Lund and look forward to leveraging its extensive, multi-channel distribution capabilities to continue to grow in the fender flare market
MacuLogix, a specialist in the early detection and tracking of age-related macular degeneration (AMD), has raised USD3.6m in series A funding. Investors include Berwind Private Equity, Roche Venture Fund, Life Sciences Greenhouse of Central Pennsylvania, and Ben Franklin Technology Partners of Central and Northern Pennsylvania. The funds will be used to accelerate manufacturing and commercial sales of the MacuLogix’ AdaptDx. The AdaptDx is being developed to be the first practical diagnostic for early detection and tracking of AMD. Dominion has signed a purchase and sale agreement for three merchant generation power stations with a subsidiary of funds controlled by Energy Capital Partners, a private equity firm with offices in New Jersey and California. The sale is expected to close in the second quarter of 2013. The power stations are: Brayton Point Power Station, a 1,528-megawatt power station in Somerset, Massachusetts, with three coal-fired units and one unit fired by oil or natural gas. Taylor Wessing, the international law firm, has advised Inflexion Private Equity Partners on the sale of Pims Group, the wastewater services company, to US buyer Xylem, a water technology company, for a headline price of USD57m. The transaction is the first instruction for the firm from new client Inflexion and follows partner James Goold’s recent arrival from Jones Day. PAI Partners has acquired airfield lighting specialist ADB Solutions from Montagu Private Equity. The terms of the transaction, which is subject to regulatory clearances, have not been disclosed. ADB serves over 2,000 airports across more than 175 countries internationally. The company develops, manufactures, and sells a portfolio of AGL products and services for airports of all sizes, from large international hubs to smaller airports, military bases and heliports. ADB is headquartered in Brussels, with manufacturing presence in the US and China and a global network of sales offices and distributors. Montagu acquired ADB from Siemens in 2009 and created an
Intervale Capital, an energy-focused private equity firm, has partnered with a management team to form Certus Energy Solutions. Certus is focused on providing premium oil country tubular goods (OCTG) and other downhole products, and is headquartered in Houston, Texas. Certus currently services customers in the Rocky Mountain and Mid-Continent regions of the US and has plans to expand to other regions. Patrick Williamson, previously a senior vice president at Key Energy Services, serves as Certus’ president and chief executive officer. AXA Private Equity, a major shareholder in Fives, has supported the engineering group’s acquisition of MAG Americas, a supplier of high-performance machinery. MAG Americas is one of the leading global players in the production of complex machinery and composite processing. The acquisition will enable Fives to expand its product range and strengthen its presence in North America. Kohlberg Kravis Roberts (KKR) is to acquire industrial machinery maker Gardner Denver in a transaction valued at approximately USD3.9bn, including the assumption of debt. Under the terms of the merger agreement, KKR will acquire all of the outstanding shares of Gardner Denver common stock for USD76 per share in cash. This price represents a premium of approximately 39 per cent to Gardner Denver’s share price on 24 October 2012, the day before the company confirmed that it had begun to explore strategic alternatives. The merger is subject to approval from Gardner Denver’s shareholders, regulatory approvals and other customary closing conditions.
Ogier has advised Avis Budget on the high yield bond financing for its USD500m acquisition of Zipcar.  Avis Budget and Zipcar currently anticipate that the transaction will be completed this week. Avis Budget Group is a provider of vehicle rental services through its Avis and Budget brands, with more than 10,000 rental locations in approximately 175 countries around the world.
