HIG Capital’s European affiliate, HIG Europe, is to acquire shares representing 49.99 per cent of the capital of Vértice 360 Servicios Audiovisuales (VSA) – until now fully owned by Vértice 360º – for a total of EUR16m.
The investment will take place through a capital increase, following which the remaining 50.01 per cent of the company’s capital will continue to be held by Vértice 360º.
VSA provides technical services and equipment for audiovisual production, post-production and advertising, broadcasting television channels and live events. VSA is part of Vértice 360º, one of the main audiovisual groups in the Spanish-speaking market, which
European private equity firm Cinven has acquired the Amdipharm Group, the family-owned international niche pharmaceuticals business, for a total consideration of GBP367m.
Amdipharm will operate initially as a standalone business but, over time, Cinven will look to merge Amdipharm with its existing portfolio company, Mercury Pharma, which it acquired in September 2012.
Mercury and Amdipharm each market mature, niche pharmaceuticals, both branded and unbranded. The businesses are highly complementary as Mercury’s customer base is largely UK focused, whereas Amdipharm has a significantly greater international business, with its products sold in over 80 countries worldwide.

Branding Brand, a mobile commerce platform used by retailers such as American Eagle Outfitters, Costco, Ralph Lauren and Sephora, has secured USD7.5m in series A funding led by Insight Venture Partners, with CrunchFund and Eastern Advisors also participating.
Branding Brand will use the investment to scale customer acquisition, technology development, and operations.
The round marks Branding Brand’s first outside investment. The CapStreet Group, a Houston-based private equity firm, has completed the sale of GHX Holdings to United Central Industrial Supply.
GHX, a value-added distributor of fluid transfer and sealing products, will merge its operations with those of United Central and will operate as The United Distribution Group.
GHX’s management team, including executive chairman Dan Ahuero, executive vice president Ben Andrews, chief executive Richard Harrison and chief financial officer Dan Maddox, will continue in leadership positions in the new, combined company.

Denver-based private equity firm KRG Capital Partners has completed a recapitalisation of Home Solutions in combination with its senior management team.
This investment represents the 13th platform company for KRG’s USD1.96bn Fund IV and its fourth platform investment in the healthcare sector.
Home Solutions is a provider of home infusion therapy services located throughout the Northeastern and Mid-Atlantic regions. The company was founded in 1996 by its current chief executive Todd Timbrook, and has developed into one of the most well-respected infusion providers.

Private equity firm VMG Partners has completed the sale of Snack Factory, parent company of Pretzel Crisps, to Snyder’s-Lance for USD340m.
Pretzel Crisps, the world’s first flat pretzel-shaped cracker, was launched by snack food pioneers Sara and Warren Wilson in 2004.
VMG invested in the company in 2009 and, working in close partnership with the Wilsons and management, helped to build one of the fastest growing brands in the premium, natural snack business.
Snack Factory products are distributed nationally primarily in the deli-bakery section of grocery retailers and in mass merchandisers and club stores.

eFront, an alternative investment software solutions provider backed by private equity firm Francisco Partners, has acquired DMLT, a provider of investor reporting and portal services for the alternative asset community.

Private equity fund manager Summer Street Capital Partners has invested in Midwest Technical Institute, a private, post-secondary school providing career education in the fields of welding, HVACR, allied health and cosmetology with five campuses across Illinois and Mississippi.
This transaction is Summer Street’s third platform investment in the post-secondary career school industry and the second investment in their third fund.
Though terms of the transaction were not disclosed, Summer Street manages in excess of USD550m of capital to make equity investments that typically range from USD15m to USD30m.

The Beekman Group has closed the sale of Northwestern Management Services (NMS) to Linden Capital Partners, a healthcare-focused middle market investment firm.
Founded in 2002 by chief executive David A Willens, NMS provides management and administrative services and facilities for the Gentle Dental Group and has grown into the largest dental practice management company exclusively operating in Florida.
Gentle Dental provides comprehensive general, cosmetic and specialty dental services through its network of 21 locations. The Beekman Group partnered with Willens and acquired a majority interest in NMS in December 2007.
