ClearCourse Partnership, a group of innovative technology companies providing market-leading software, services and integrated payments solutions, is to acquire Eworks Manager , a provider of job management software.  Financial terms of the acquisition, which sees the Company strengthen the Group’s Business Services division, have not been disclosed.
Cigna Ventures, the corporate venture capital partner and wholly owned indirect subsidiary of Cigna Corporation (Cigna), has participated in a USD750 million financing to support Bright Health Group, a technology-enabled fully aligned system of care, built for healthcare’s consumer retail market. The Company’s largest existing shareholder, New Enterprise Associates (NEA), will also participate as a co-investor.  Under the terms of the investment, Cigna and NEA will purchase, in aggregate, USD750 million of convertible perpetual preferred stock (the Series A Preferred), with a purchase price of USD1,000 per share. Audax Private Equity (Audax) has made a strategic growth investment in Veterinary Practice Partners (VPP), a veterinary practice management group and portfolio company of Pamlico Capital.  Terms of the transaction have not been disclosed but VPP will use the investment funds to further its co-ownership model whereby it provides operational support to veterinarians across learning and development, HR and recruiting, marketing, technology, and finance.
Alcidion Group Limited (Alcidion) has signed a binding share purchase agreement (SPA) to acquire 100 per cent of the issued capital of Silverlink PCS Software Ltd (Silverlink).  The acquisition price for Silverlink is GBP30.0 million (AUD55.5 million) upfront in cash, with a further GBP3.0 million (AUD5.5 million) subject to earn-out based on successful renewal of select customers prior to 31 March 2024.  Concurrently, the Company is raising AUD55 million via a placement, and underwritten accelerated non-renounceable entitlement offer to institutional and retail shareholders.  
Liontrust has agreed to acquire Majedie for an initial consideration of GBP80 million (including regulatory capital) plus up to GBP40 million for excess NAV and deferred consideration. Majedie’s institutional fund management team will be joining Liontrust when the acquisition is completed in April 2022. On completion, the team will be renamed the Liontrust Global Fundamental team and continue to be headed by James de Uphaugh.
American Family Ventures along with new and existing investors including Bain Capital, ICONIQ Capital, LLC, G20 Ventures, Pillar, and General Catalyst, has led a USD60 million funding round in Hometap, a loan alternative for tapping into home equity without taking on debt.  The latest funding round brings total operating capital raised to date by Hometap to USD95 million.
Browne Jacobson’s corporate health lawyers have advised specialist healthcare services private equity investor, Weight Partners Capital (WPC) on its investment in Grosvenor Health and Social Care (Grosvenor) for an undisclosed sum. WPC’s investment will support Grosvenor in its ambitions for further geographical growth across the UK and will also give the organisation the opportunity to broaden out its service offering.
Global tax software provider Sovos has acquired Germany-based TLI Consulting, a specialist in value-added tax (VAT) determination.   TLI Consulting serves businesses whose transaction and tax determination needs are too complex or costly to configure and maintain via native SAP and in-house tax experts. The company’s software solution extends native SAP VAT determination functionality, and its consultants have the integration and implementation expertise to ensure that SAP ECC or SAP S/4 HANA enterprise resource planning systems can seamlessly determine the right VAT decisions and tax codes for any outbound or inbound transaction.
South Korean video game developer KRAFTON, Inc, maker of the popular battle royale game PUBG, has led a USD11 million Series B Round in Arabic mobile games publisher Tamatem Games.  Venture Souq, Endeavor Catalyst and existing investors also participated.
Private equity manager Keensight Capital is to invest alongside existing management in Buckaroo, an online Payment Service Provider (PSP) based in the Netherlands and Belgium. Keensight Capital will replace Blackfin Capital as majority shareholder alongside the management team led by Paul Scholten.
