SK Capital portfolio company Tilley Company (Tilley), a US based distributor and service provider of specialty ingredients, has merged with with Phoenix Aromas and Essential Oils (Phoenix), a US-based distributor of flavour and fragrance ingredients and compounds, serving the food and beverage, personal care, pharmaceutical, air care, and fragrance markets.  Committed debt financing for the deal was led by Madison Capital Funding LLC and the combined business will now be known as the Tilley Phoenix Group.
Funds services provider Praxis Fund Services (PFS) has supported tech-focused venture capital group Hambro Perks on the launch of the first Special Purpose Acquisition Company (SPAC) to be listed on the London Stock Exchange (LSE). The Financial Conduct Authority (FCA) consulted on listing rules for the LSE earlier this year with recommended changes coming into effect in August 2021. These variations aligned the LSE with the SPAC model, which has become popular in US markets, where more than 600 SPACs have listed since 2020. OpenGate Capital portfolio company, Duraco Specialty Tapes (Duraco), a manufacturer of pressure-sensitive tapes and specialty materials, has acquired 3 Sigma, a custom solution provider of pressure-sensitive products and specialty coatings, from Brixey & Meyer Capital.  Terms of the third add-on transaction for Duraco since its acquisition by OpenGate in June 2019, have not been disclosed. 
Mercer Global Advisors, a registered investment adviser (RIA) majority owned by private equity firms Oak Hill Capital and Genstar Capital, has acquired Mirsky Financial Management Corporation (MFMC), a wealth management firm located in Rochester, New York.  MFMC, which serves clients with assets under management (AUM) of approximately USD320 million, was founded in 1999 by David B Mirsky, President, CPA/PFS, CFP®, CMA, and later joined by Bernard . Salamone, Executive Vice President, JD, CPA, CFP.
Crypto investment firm Maven 11 Capital has closed its second fund, Venture Fund II, at USD120 million on 30 November.  Building on the success of the first fund, Fund II will look to back founders looking to build novel infrastructure protocols, DeFi primitives and Web 3.0 applications in the crypto industry.
With all change of control and regulatory approvals now in place, JTC has completed the acquisition of Irish asset manager Ballybunion Capital Limited (Ballybunion), first announced in September 2021.
Kirk & Kirk, a high fashion glasses and sunglasses retailer whose major investor is private equity firm Growthdeck, has seen more than 40 per cent year-on-year revenue growth in the past 12 months, despite the effects of the Covid-19 pandemic. Growth at Kirk & Kirk has been driven by the business securing a number of major new wholesale agreements, with more than 400 independent stockists worldwide now retailing its frames.

Clayton, Dubilier & Rice has completed the USD2.5 billion sale of Sirius Computer Solutions, a provider of technology-based solutions for corporate and institutional customers, to CDW.
Textkernel, a search and match technology specialist has made the add-on acquisition of US-based AI company Sovren. Sovren, which delivers a similar product suite, predominantly within the North American market, is based in Texas, USA. The combination of both companies creates a market leading player in the AI-based search and match technology space. This seamlessly fits into Textkernel’s mission to connect people and jobs, better. With this strategic step, Textkernel continues its exciting growth trajectory and strengthens its North American and APAC footprint. Both Textkernel and Sovren have achieved impressive growth in recent years, both inside and outside the USA.
European revenue-based finance provider Round2 Capital, has expanded its commitment to the Nordic tech market with a EUR4 million investment in Finnish SaaS company Vainu.  The investment fund, based in Vienna, Berlin and Stockholm, has been working with Vainu since 2019 and provided both revenue-based financing and equity in the current round. With this fresh capital, Vainu was able to transform its business, doubling its annual average customer value (ACV) while systematically moving away from a small standalone customer segment. Vainu is a software-as-a-service (SaaS) vendor that operates a company information platform to help customers achieve rich personalisation in sales
