KKR-Warburg Pincus consortium makes non-binding offer for Gerresheimer

A private equity consortium led by KKR and Warburg Pincus has submitted a non-binding bid to acquire Gerresheimer AG, the German medical packaging company known for manufacturing injector pens used in popular weight-loss drugs such as Wegovy, according to a report by Reuters.

The report cites unnamed sources familiar with the matter as revealing that the bid is close to €90 per share, valuing the company at nearly €3.1bn ($3.37bn), significantly above its €2.65bn market capitalisation as of Friday’s close, according to LSEG data.

While the offer signals strong interest, sources indicate that a takeover is not guaranteed, and negotiations could extend for several more weeks.

Neither KKR nor Warburg Pincus have commented on the bid, and Gerresheimer has yet to respond to inquiries. Following the news, Gerresheimer’s stock surged as much as 5.5% on Monday.

In February, Gerresheimer confirmed it was engaged in early-stage discussions with private equity investors regarding a potential sale but emphasised that interest remained informal and non-binding.

The bid comes after activist investor Ricky Chad Sandler disclosed a 5.43% stake in Gerresheimer in October 2024, adding to speculation about a potential transaction.

Meanwhile, Gerresheimer halved its 2025 revenue guidance last month due to weakened demand in its cosmetics, food, and beverage segments. The company now expects organic revenue growth of 3% to 5%, down from its previous estimate of 7% to 10%, while maintaining a forecast for an adjusted core profit margin of around 22%.
