Dentons has advised AIM-listed ULS Technology, a provider of online B2B platforms for the UK conveyancing and financial intermediary markets, on its acquisition of Conveyancing Alliance Holdings Limited and its UK subsidiary, Conveyancing Alliance Limited.
Dentons advised on all aspects of the deal, including commercial, tax and banking matters.
The firm also advised ULS on banking facilities with HSBC Bank in respect of two new debt facilities: a GBP5 million five-year term loan and a GBP2 million three-year revolving facility.

United Flexible, a portfolio company of Arlington Capital Partners, has acquired Scotia Technology, a designer and manufacturer of small-diameter precision fixed tubular components for the aerospace and defence industries primarily to transfer fuel, oil, air, water and hydraulic fluids.
The agreement to acquire Scotia will expand the commercial aerospace and defence precision fixed tube product offerings of Kreisler Manufacturing, United Flexible’s most recent acquisition.
It will also advance United Flexible’s strategy of becoming the preeminent designer and manufacturer of high pressure and high temperature gas and fluid conduits into mission critical systems for OEMs.

Salvepar is to sell its stake in Ecotel Chomette Favor (ECF) to Naxicap Partners.
Salvepar invested in ECF in 2011 alongside Weinberg Capital Partners and the company’s management team led by Thierry Drecq.
ECF is specialist in the distribution of equipment and non-food supplies for hotel and restaurant professionals.
ECF has a distribution network based on four distribution channels – direct sales, a network of 38 franchised stores, and six wholly-owned stores and distance selling. It has a portfolio of 60,000 customers.
Over the past five years, ECF has developed internationally thanks to the acquisition, in 2012,
NextEnergy Capital’s private equity fund NextPower II has acquired a 16.6MWp solar portfolio developed by Veronagest and other shareholders.
The portfolio comprises six solar plants located in Sicily and built by the top-tier EPC and module manufacturer Sunpower Corporation.
The six solar plants have been operating for over five years demonstrating consistent high performances through the generation of c.27.6 GWh per annum, corresponding to the electricity needs of around 10,200 households and a saving of CO2 emissions of around 11,900 tonnes every year.
The portfolio is currently financed with a long-term project financing by Unicredit, Société Générale Milan
IGF, a commercial finance provider for SMEs, has provided GBP34.7 million of lending to SMEs across the UK following its acquisition in April 2016.

The acquisition of Walson, which services patients in Texas and Louisiana, offers TCG a broader geographic reach, a more diversified patient base, and new product offerings.

Founded in 1863, Jordans comprises four companies: Jordans Limited, Jordans (Scotland) Limited, Jordans Corporate Law and Jordans Trust Company.

Manhattan West Asset Management has added an ESG (environmental, social and governance) focused private equity fund to its offerings.

Alstom has signed a purchase agreement for the acquisition of Nomad Holdings, commercially known as Nomad Digital, from Amadeus Capital Partners, SEB Venture Capital and Deutsche Telekom Strategic Investments.
Nomad is a provider of passenger and fleet connectivity solutions to the rail industry.
It employs around 230 people and is headquartered in Newcastle upon Tyne, with 13 offices worldwide, principally in the UK, Netherlands, Germany, Portugal, Canada, Australia, and the US.
