Noerr has advised meal delivery company HelloFresh on a further round of financing.
A new international investor is investing EUR85 million of new capital in HelloFresh together with investment company Baillie Gifford, which already holds an interest.
At the same time, HelloFresh will now be trading as an SE (Societas Europaea). Noerr also assisted in changing the company’s legal form.
The financing round was based on a valuation of HelloFresh before the capital increase (pre-money valuation) of EUR2 billion. The existing HelloFresh investors include Rocket Internet, Insight Venture Partners, Phenomen Ventures and Vorwerk Direct Selling Ventures.
The Noerr team led by corporate partner Prof. Christian Pleister and senior associate Michael Sturm has supported HelloFresh as it has grown over the last few years.
The team has already advised in connection with the previous change in the company’s legal form from a German limited liability company (GmbH) to a stock corporation (AG) and during the acquisition of a stake by Baillie Gifford.
