Warren Equity Partners closes oversubscribed $2.8bn infrastructure fund at hard cap

Warren Equity Partners has closed its fifth flagship private equity fund with approximately $2.8bn in investor commitments, exceeding its original fundraising target and highlighting continued institutional demand for infrastructure-focused buyout strategies.

Fund V reached its hard cap after raising capital from more than 60 institutional investors, including pension funds, insurance companies, asset managers, endowments, foundations and family offices. The fund surpassed its initial target of $2.25bn in less than a year.

The vehicle will continue Warren Equity’s strategy of investing in middle-market companies that provide essential services supporting critical infrastructure across North America and Europe.

The firm targets businesses operating in sectors benefiting from long-term structural demand, including power and utilities, water and wastewater, transportation, waste management, digital infrastructure, and buildings and facilities. Alongside capital, Warren Equity plans to support portfolio companies through operational improvements, organic growth initiatives and buy-and-build strategies in fragmented markets.

The successful fundraising comes amid sustained investor appetite for infrastructure-related private equity strategies, as limited partners continue to favour sectors offering resilient cash flows, recurring demand and exposure to long-term themes such as energy transition, digitalisation and infrastructure modernisation.

Warren Equity said it will continue leveraging its in-house operations team and proprietary artificial intelligence platform to support investment sourcing, due diligence and portfolio value creation.

Fund V has already begun deploying capital, completing its first platform investment in June with the acquisition of USG Water Solutions, a US provider of outsourced water tank maintenance and asset management services for municipal water utilities.

The flagship fund complements Warren Equity’s lower middle-market investment strategy, which is managed through ELIDO Fund II, a vehicle that closed in 2024 with more than $590m in commitments.

Since its launch in 2015, Warren Equity has completed 38 platform investments and more than 175 add-on acquisitions across its flagship funds, reflecting the firm’s emphasis on acquisition-led growth strategies.

The Jacksonville Beach, Florida-headquartered private equity firm manages approximately $9.6bn in assets under management. Harris Williams advised on the fundraising, while Kirkland & Ellis served as fund counsel.
