Bain Capital teams with Warner Music to launch $1.2bn music catalogue JV

Warner Music Group and private investment major Bain Capital have launched a new $1.2bn joint venture aimed at acquiring music catalogues across both recorded music and publishing rights, the companies announced in a statement on Tuesday.

The initiative marks the latest high-profile tie-up between a global record label and a private equity firm seeking to capitalise on the long-term value and cashflow resilience of music assets.

The vehicle will be funded through equal capital commitments from Warner Music and Bain Capital. While both firms will jointly source and evaluate acquisition targets, Warner Music will retain operational control of the catalogues post-acquisition, managing marketing, distribution, and monetisation strategies.

The launch of the JV comes amid renewed speculation that Warner is in talks to acquire the Red Hot Chili Peppers’ recorded masters catalogue for over $300m, according to a report by the Financial Times. While Warner and Bain declined to comment on the reported discussions, Billboard has previously valued the band’s catalogue at over $350m.

Warner Music and Bain Capital’s JV enters a competitive landscape. In 2023, Blackstone acquired Hipgnosis Songs Fund for $1.58bn, while Apollo Global Management agreed a $700m investment partnership with Sony Music Group.
