Blackstone tables $3.5bn bid for Japan’s TechnoPro amid take-private wave

Blackstone has launched a JPY507.4bn ($3.5bn) tender offer to take Tokyo-listed engineering staffing firm TechnoPro Holdings private, marking its latest move in an increasingly competitive Japanese buyout market, according to a report by Reuters.

The offer, priced at JPY4,870 per share, represents a 17.4% premium to TechnoPro’s three-month average closing price and is expected to commence on 7 August. Shares in TechnoPro closed at JPY4,876 on Wednesday.

The proposed deal, Blackstone’s seventh investment in Japan and its third private equity transaction this year, underlines the firm’s strategic focus on expanding its footprint in Asia’s second-largest economy. In a statement, the firm said it remains committed to deploying further capital in the region.

Blackstone reportedly edged out Bain Capital in the final round of bidding for TechnoPro, according to sources familiar with the matter. The transaction adds further momentum to a record year for M&A activity in Japan, driven in part by ongoing corporate governance reforms and mounting investor pressure on underperforming listed companies.

Rival private equity firms have also stepped up activity. EQT recently announced a $2.7bn offer for elevator manufacturer Fujitec, while KKR completed the take-private of software developer Fuji Soft in February after a drawn-out contest with Bain.

Real assets remain another area of focus. In late 2024, Blackstone acquired a central Tokyo office and hotel complex in a JPY400bn transaction – reportedly the largest real estate investment by a foreign buyer in Japan to date.

Looking ahead, Bain and KKR are said to be among three consortiums preparing bids for Sapporo Holdings’ real estate portfolio, with a potential sale price also in the region of JPY400bn.

Japan’s M&A surge continues to offer fertile ground for global private equity, with rising interest in secondaries, carve-outs, and take-privates. For Blackstone, the TechnoPro deal underscores its commitment to capitalise on that momentum.
