Bain to acquire Namirial from Ambienta

Bain Capital has entered into a definitive agreement to acquire a controlling interest in Namirial, a provider of Digital Transaction Management (DTM) software solutions, from Italian private equity firm Ambienta.

Financial terms of the transaction have not been disclosed, but, according to Bloomberg, sources familiar with the matter suggest the deal values Namirial at approximately €1.1bn ($1.2bn).

Headquartered in Senigallia, Italy, Namirial offers a suite of digital solutions, including e-signature workflows, digital identity orchestration, onboarding, digital trust technologies, and qualified electronic archiving, serving enterprises, SMEs, and professionals.

The investment is expected to leverage strong regulatory tailwinds and rising demand for secure and compliant digital transactions in an increasingly digital-first environment.

Bloomberg reports that Hg and TA Associates were among the firms that had prepared non-binding offers for Namirial, while other private equity players, including Apax and Cinven, also explored potential bids.

The transaction is anticipated to close in Q2 2025, subject to customary regulatory approvals and closing conditions.
