The Institutional Limited Partners Association (ILPA) has released guidance regarding the practice of general partner (GP)-led secondary fund restructurings. The guidance was issued in response to the increasing prevalence of such transactions and the bespoke nature of each situation.
The intent of the guidance is to offer specific parameters that allow for an efficient and transparent process, encourage productive dialogue among stakeholders and foster better decision making by limited partners.

Meridia Private Equity has invested a minority holding in Kipenzi, an integrated pet care specialist in Spain and Portugal with a growing network of over 125 specialised pet stores, 75 veterinary clinics and eight veterinary hospitals, and revenues in excess of EUR140 million.

BGF-backed Woodall Nicholson Group, a manufacturer of specialist vehicles for the funeral, public transport and emergency services markets, has acquired the intellectual property, trademarks and strategic assets of the former Binz & Co, KG and BINZ Holding.
The business is headquartered in Westhoughton, Bolton UK. The deal will add capability to Woodall Nicholson’s existing business, Coleman Milne, which is a market leader within the same sector for UK and Ireland.

Spanish lower mid-market firm GED Capital has made the first investment from its new fund GED VI España with the acquisition of a majority stake in Aircraft Interior Refurbishment España (AIRE), a Company specialised in the maintenance, repair and overhaul of aircraft cabin interiors.
AIRE was founded in February 2000 as an independent Company. Its portfolio of services currently includes the maintenance of seats, galley elements, stowages and panels, the modification and reconditioning of cabins, the manufacture of covers, carpets and adhesive labels and also the certification of modifications to aircraft cabins and its components. RLJ Equity Partners (RLJ), an affiliate of the RLJ Companies, has acquired a majority interest in Virteva, a privately held Minneapolis, Minnesota-based company that is a Gold ServiceNow partner and provider of managed services for digital enterprises.
RLJ will now merge Virteva with Crossfuze to offer a ‘more dynamic global organisation’. Financial terms of the transaction have not been disclosed.

Behrman Capital (Behrman), a private equity investment firm based in New York and San Francisco, has acquired Waterline Renewal Technologies (Waterline), a division of Triwater Holdings.
Members of Waterline’s senior management team invested in the transaction alongside Behrman. Financial terms of the transaction have not been disclosed.
