IMV Europe Limited, part of Osaka based IMV Corporation which manufactures noise and vibration test equipment and has turnover of JPY10.3 billion, has simultaneously acquired two businesses; GBP2.1 million turnover Vibratech, and GBP2.4 million turnover CVMSL with advice from Martin Kennedy and Jeff Barber of BTG Corporate Finance in Manchester. Listed on the JASDAQ securities market, IMV Corporation is the world’s leading supplier of high reliability vibration test and measurement systems.  IMV Europe’s facilities include a technical centre at Letchworth from where it develops cutting edge test and measurement solutions.   Based in Hertforshire, Vibratech is a specialist in the
Epidarex Capital (Epidarex), an early stage life science venture capital firm, has sold portfolio company Confluence Life Sciences to Aclaris Therapeutics, for a total deal value of up to USD100 million in up-front and milestone payments.  The Confluence investors are also eligible to receive future payments on royalties on drug product sales.   Confluence was established in 2010 by an experienced team of former Pfizer executives and researchers in St. Louis, MO. The company’s focus is the discovery and development of kinase inhibitors to treat inflammatory and immunological disorders and cancer. Its assets include: CDD-450, a novel MK-2 pathway inhibitor;
SK Capital, a private investment firm focused on the specialty materials, chemicals and pharmaceuticals sectors, is to to acquire Perrigo API, Perrigo Company’s active pharmaceutical ingredients (API) business. As part of the transaction, the parties have agreed to enter into a long-term supply agreement for Perrigo API to supply multiple existing commercial and pipeline APIs to Perrigo. NSR Invest and LendingRobot have merged to create a new combined independent advisory platform for alternative lending. Lend Core LLC, the parent company of NSR Invest, acquired Algorithmic, and all its assets, including the LendingRobot website and technology. The combination brings together two highly complementary companies, each with an excellent reputation in the alternative, marketplace lending industry, also called peer lending. Stonehenge Growth Capital has made an investment in PosiGen that will enable the solar company to expand operations in Connecticut and provide clean energy technology to hundreds of low- to moderate-income Connecticut households. Stonehenge Growth Capital, a subsidiary of Stonehenge Capital Company, made the USD5 million investment through the Invest CT program. Solar panels installed by PosiGen have already reduced the energy cost burden faced by over 10,000 families across four states, including Connecticut, New York, Louisiana and Florida. Stonehenge’s investment will allow PosiGen to provide an additional 750 rooftop solar panel systems to further reduce Connecticut households’ energy costs.
Sverica Capital Management (Sverica) has acquired a majority interest in Women’s Health USA (WHUSA). The investment is Sverica’s fourth investment from Fund IV. EmergeVest, an international private investment firm, has completed the first inaugural exit from its debut fund, EmergeVest Fund LP. In connection with the successful merger of its portfolio company, JD United Holdings Limited (JDU), with Taiwan-listed Roo Hsing Co, EmergeVest completely exited its investment in JDU, generating more than two-times invested capital and an IRR above 25. Consideration for the transaction is not being disclosed.   Headquartered in Changzhou, Jiangsu, China, JDU has 25 manufacturing facilities across Asia and Africa, producing apparel for leading international brands and retailers, such as Levi Strauss, Gap, Fast Retailing, Primark and C&A. Middle-market private equity firm Wynnchurch Capital has completed the sale of Senco Holdings (Senco) to Kyocera Corporation (KYO), a supplier of cutting tools, industrial ceramics, electronic components, printers, copiers, solar power generating systems, mobile phones and semiconductor packages. Headquartered in Cincinnati, Ohio, Senco is a designer, manufacturer and marketer of branded fastening tools and collated staples, nails and screws. For over 60 years, the Senco brand has been recognised around the world as one of the leading names in residential construction and industrial manufacturing. Palamon Capital Partners is to acquire Business School24, the education and training unit of Il Sole 24 ORE, Italy’s leading business newspaper.  Palamon will acquire 49 per cent of the Company at an enterprise valuation of EUR80 million with a call option to acquire an additional 2 per cent in May 2018. The sale agreement has arrangements in place for Palamon to acquire additional equity with Il Sole agreeing to retain a minimum 20 per cent strategic stake in the Company going forward.
