First Investors Financial Services Group has entered into a definitive merger agreement with FIFS Holdings Corp, a company controlled by Aquiline Capital Partners, a New York-based private equity firm investing in the financial services sector.
Under the merger agreement, FIFS Holdings will acquire all of the outstanding shares of First Investors common stock in an all-cash transaction valuing First Investors at GBP100m.
Stockholders of First Investors will receive GBP13.87 for each share of First Investors common stock they hold.

Onex is to acquire KraussMaffei, a manufacturer of plastic and rubber processing equipment, for EUR568m.
The transaction is anticipated to close by 31 March, 2013 subject to customary conditions and regulatory approvals.
Based in Munich, Germany, KraussMaffei designs and manufactures machinery and systems for the processing of plastics and rubber. The company manufactures machinery for the injection moulding, extrusion and reaction process segments. KraussMaffei has approximately 4,000 employees and operates key manufacturing facilities in Germany, Switzerland, Slovakia and China. For the 12 months ended 30 June 2012, the company generated approximately EUR1.0bn in revenues.

Arma Partners acted as the exclusive financial adviser to Butterfly Software, a privately held data analysis and migration software company headquartered in Maidenhead, UK, on its sale to International Business Machines.
Financial terms of the transaction were not disclosed. Butterfly will become part of IBM’s software group.
Butterfly offers storage planning software and storage migration tools, helping customers save storage space, operational time, IT budget and power consumption. IBM will use Butterfly to help clients find new ways to drive greater value from its storage software and hardware solutions.
EnBW Erneuerbare Energien has acquired a wind farm with eight turbines and total output of 16 MW from Ventotec (Leer).
The wind farm is located in Neuruppin-Dabergotz in the Federal State of Brandenburg.
A team from CMS Hasche Sigle led by lead partner Jochen Lamb advised EnBW on all aspects of the transaction.
At the end of 2011, EnBW acquired the Christinendorf III wind farm from Ventotec with the support of the same team.

Arsenal Capital Partners, a New York-based private equity firm, has acquired IGM Resins, a provider of intermediates to the global ultraviolet (UV) radiation cure coatings, inks and adhesives industry.
UV technologies are used in numerous end markets, including printing, packaging, electronics and construction.
Founded in 1999, and headquartered in the Netherlands, IGM Resins is a global specialty chemical company and leading supplier of photoinitiators and acrylates to the worldwide UV curable coatings and inks markets. Global alternative asset manager The Carlyle Group has acquired 100% of the outstanding shares of Walbro Engine Management, a global small engine parts manufacturer, from Sun Capital Partners.
Terms of the transaction were not disclosed. Equity for the investment comes from Carlyle Japan Partners II.
Headquartered in Tucson, Arizona, Walbro is the world’s largest manufacturer of carburettors and a major manufacturer of fuel and air management components mainly targeted at the outdoor power equipment industry. AXA Private Equity, a leading European diversified private equity firm, and international banking group Intesa Sanpaolo, have signed an agreement to acquire a majority 66% stake in Limacorporate SpA.
The existing management of Limacorporate SpA will reinvest in the remaining 34% capital.
Limacorporate SpA, founded by the Lualdi family in 1975, is a global leader in the design, production and distribution of orthopaedic devices. The Group has 600 employers and three production facilities in Italy. In 2011 it had revenues of 117 million euros, 66% of which was generated in markets outside of Italy.

Private equity firm TA Associates has, with the support of the existing management team, completed a buyout of SpeedCast, a global network and satellite communications service provider, from Asia Satellite Telecommunications (AsiaSat).
SpeedCast provides very small aperture terminal (VSAT) satellite-based broadband access services, managed networking solutions and value-added services in more than 30 countries primarily in Asia, the Middle East and Africa.
