Kleinwort Benson Group (KBG), the wholly owned subsidiary of financial services group RHJ International (RHJI), has reached agreement with Deutsche Bank to acquire BHF-BANK, a German private bank.
The transaction is subject to regulatory approvals.
Under the transaction, KBG will acquire 100 per cent of BHF-BANK for an agreed consideration of EUR384m, which will be paid in cash and is subject to closing purchase price adjustments.
In addition to funds provided by RHJI, the associated capital increase in KBG is supported by Fosun Group, AQTON SE (the wholly owned strategic investment company of German entrepreneur Stefan Quandt), entities affiliated with

Funkwerk has sold its subsidiary Funkwerk Dabendorf to the novero Group with effect from 1 October 2012.
The subsidiary handles the key operations of the automotive communication division.
The purchase agreement was signed yesterday. The business premises belonging to Funkwerk Dabendorf in Dabendorf/Zossen and the company’s 100 per cent share in Funkwerk eurotelematik are not included in the sale.
A team from CMS Hasche Sigle led by lead partner Eckhart Braun advised Funkwerk on all legal aspects of the sales process.

Towry Group, a portfolio company of Palamon Capital Partners, has concluded a transaction with Macquarie Bank and Royal Bank of Scotland, to provide a GBP47.3m financing package.
The proceeds of the debt issuance, which comprised GBP42.5m of senior and junior loans provided by Macquarie and GBP4.8m of additional senior debt provided by RBS, one of Towry’s existing lenders, were used to replace a mezzanine debt facility.

Curves is the largest health club franchisor in the world with over 1.5 million active members and 7,300 clubs located in 90 countries. Focused predominantly on fitness and women’s health, Curves features a business model built on a franchise system with geographic and product diversification.
The investment was a globally co-ordinated effort. Capital Dynamics’ London, New York and Silicon Valley offices, together with its Tokyo office, worked in close collaboration with US-based North Castle Partners to complete the transaction.

Mid-market private equity provider LDC has exited its investment in outsourced insurance services provider Direct Group by selling the company to Ryan Speciality Group (RSG).
The transaction remains subject to completion pending regulatory approval. Terms of the sale were undisclosed.
