Deal activity in the Australian PE market in FY2014 was lower than in the previous year in terms of total deal size, but deal numbers were up, largely due to more bolt-ons and follow-on investments.
That’s according to the sixth annual AVCAL Deal Metrics Survey of private equity (PE) and venture capital (VC)
activity, which covers USD94.1bn worth of transactions conducted by 238 funds between FY2005 and FY2014.
Whilst the lower and mid-market segments remained fairly active compared to the previous few years, the smaller number of deals at the larger end impacted on the overall dollar value of transactions.
Gibraltar Financial Services Commission (FSC Gibraltar) and The Swiss Financial Markets Supervisory Authority (FINMA) have just reached a Memorandum of Understanding (MoU) to assist managers of alternative investment funds (AIFs).
The MoU covers mutual assistance in the supervision and oversight of AIF managers, their delegates and depositaries that operate on a cross-border basis in the two jurisdictions.
This development comes in light of the increasing globalisation of the world‘s financial markets and the upsurge in cross-border operations and activities of Managers of alternative investment funds.

Veritas Financial Partners has raised USD125 million in debt and equity to provide for future growth. The company recently entered into a credit facility with BMO Harris Bank NA.
Veritas also secured a private equity investment from funds managed by Atalaya Capital Management as part of a strategic transaction which occurred earlier this year. Veritas will utilise the proceeds from the credit facility and the equity investment to continue expanding its lending platform.

Thoma Bravo, a leading private equity investment firm, has completed its acquisition of Compuware Corporation in a transaction valued at approximately USD2.4 billion, or an aggregate value of USD10.75 per share.
This includes a net cash payment of approximately USD10.39 per share of common stock and the value of Covisint shares previously distributed to holders of Compuware equity. With the transaction completed, Compuware’s stock has ceased trading on the NASDAQ under the ticker symbol CPWR.

Cathay Capital has held the final closing of the Sino French (Midcap) Fund, which will partner with French, Chinese and European companies of the midcap segment, at EUR500 million.
The fund’s hard-cap was reached less than six months after the official launch of the fund and a first closing carried out in June 2014. In addition to Bpifrance and China Development Bank, long-term partners of Cathay Capital who both contributed EUR100 million, this investment fund was also subscribed by around thirty other investors drawn from Europe, China and the Middle East.

Orliman, owned by The Riverside Company, has acquired the French orthopedic company Soft Medical Europe (SM Europe).
SM Europe designs and distributes non-invasive braces and supports in France. The company’s broad portfolio of 120 high quality and value-oriented products are sold under its own brands Ortheis, KidOrtho and FeetPad, and the Ezy Wrap brand, under an exclusive distribution agreement with a US manufacturer. SM Europe principally sells through pharmacies, but also offers products in orthopedic shops and medical facilities.

PetSmart is to be acquired by a consortium led by BC Partners, Inc at a price of USD83.00 per share in cash, representing a premium of approximately 39% over PetSmart’s unaffected closing share price on 2 July, 2014.
The consortium includes Funds advised by BC Partners (BC Funds), alongside several of its limited partners, including La Caisse de dépôt et placement du Québec (La Caisse) and StepStone. Longview Asset Management, which owns or manages approximately 9% of PetSmart’s outstanding shares has committed to vote in favour of the transaction. Kuwait Pipe Industries and Oil Services Company (Kuwait Pipes) has signed a settlement term sheet for the commercial debt of around KWD130mn with its participating commercial lenders to bring a comprehensive and permanent solution to the Company’s capital structure.
The settlement term sheet was signed by Abdulkareem Abdullah Al-Mutawa, Board Member and Head of Re-Structuring Committee of Kuwait Pipes, and representatives from five of the Commercial lenders.
