HNA Group has agreed to acquire GE Capital’s TIP Trailer Services, a provider of transport equipment leasing, rental and service solutions, subject to customary closing conditions, including regulatory approvals.
HNA Group is advised by Bravia Capital of Hong Kong with whom they have historically partnered on other transactions.
Following the completion of the acquisition TIP will operate a network of 48 branches throughout 16 European countries, with over 100 rental locations, more than 50 workshops and 100 mobile service vans. TIP has a transport equipment fleet in excess of 45,000 units.
Adam Tan, vice-chairman and president of
Piper, an investor in consumer brands, has taken a significant minority stake in Turtle Bay, a Caribbean restaurant group.
Turtle Bay is the brainchild of Aj Jaya-Wickrema, who co-founded Las Iguanas, a previous Piper investment. Piper helped Las Iguanas grow from a regional operator of four restaurants into Britain’s market leading Latin American chain, delivering a 6x multiple on its investment on exit in 2007.
Turtle Bay, which promises “to transport you to the Caribbean without a plane ticket”, offers authentic food and drink inspired by the islands’ vibrant culture. The first site opened in Milton Keynes in 2011, followed by restaurants in Bristol, Nottingham and Southampton. The business plans to open
AXA Private Equity has agreed to sell its majority stake in Outremer Telecom to Altice, the telecoms investment fund.
Jean-Michel Hegesippe, chief executive and founder of Outremer Telecom, and the management team will reinvest alongside Altice.

Arsenal Capital Partners has signed an agreement to acquire ADCO Global, a manufacturer of specialty adhesives, sealants and tapes.
ADCO Global is a portfolio company of Aurora Capital Group, a Los Angeles-based private equity firm. The transaction is subject to customary conditions to closing, including regulatory approval, and is expected to close during the third quarter of 2013.

Clearlake Capital Group has acquired Inventus, an electronic data discovery (EDD) solutions provider to law firms, Fortune 1000 corporations and government agencies.
Clearlake led the investment group, which included the Inventus management team and Cerca Group, a private investment firm based in New York City. Terms of the transaction were not disclosed.
Inventus is a national provider of end-to-end EDD services and solutions, offering efficient, customised workflows and best-of-breed technology to meet the specific needs of each of its clients.
Inventus will remain headquartered in Chicago and Trevor Campion will continue to lead the company as its chief executive
Electra Partners has acquired mixing console manufacturer Allen & Heath from D&M Holdings.
A total of GBP43m of equity and debt has been provided by Electra Private Equity and Allen & Heath’s management.
Founded in 1969, Allen & Heath designs and manufactures audio mixing consoles for live sound, such as concerts, theatres and houses of worship. Allen & Heath’s existing team and distribution networks will remain in place.

A company wholly owned by funds managed by The Carlyle Group is to acquire Marelli Motori from Melrose Industries.
The transaction will be effected by the sale of Marelli Overseas Limited, the holding company of Marelli Motori, and is expected to close in August 2013.
Capital for this investment will come from Carlyle Europe Partners III, a EUR5.3bn fund that makes mid- and large-cap investments.
Founded in 1891, Marelli Motori is one of the world’s largest manufacturers of industrial generators and electric motors, serving worldwide markets for power generation, marine, oil and gas and industrial manufacturing.
Mitsubishi UFJ Trust and Banking Corporation (MUTB) is to acquire alternative fund administrator Butterfield Fulcrum. Established in 1927, MUTB is a wholly owned subsidiary of Mitsubishi UFJ Financial Group (‘MUFG’), the fifth largest global bank holding company ranked by assets.

Kennet Partners, the technology growth investor, and Fidelity Growth Partners Europe (FGPE), the pan-European growth investor, have acquired Rivo Software, a software company based in Warwick, UK.
Rivo Software is a provider of environmental, health and safety, quality and loss prevention management software. Founded eight years ago, the company helps businesses manage compliance and business risk through its cloud-based software. The company’s products are used in 82 countries, in 32 languages by over 140,000 people. Clients include ABB, BP, Chevron, Crossrail, Siemens, Thames Water, Veolia, and many others.
Simultaneous with the acquisition, Kennet Partners and Fidelity Growth Partners
Apax Partners, Altamir, LBO France and Nixen have signed an exclusive agreement with Bain Capital for the sale of Maisons du Monde, a specialist home decoration and furniture retailer.
The transaction is expected to be completed in the coming weeks.
Apax Partners and LBO France acquired a majority stake in Maisons du Monde in April 2008 partnering with its founder and chief executive Xavier Marie, the company’s management team, and Nixen.
