Global law firm Paul Hastings has advised Intermediate Capital Group (ICG) on a comprehensive financing package to support its investment in Iver Holding AB alongside management and other shareholders.
Headquartered in Stockholm, the Iver group specialises in IT outsourcing and multi-cloud solutions.
The European leveraged finance team at Paul Hastings advised ICG on all aspects of the debt financing process, including the establishment of committed term and revolving facilities to support the ongoing growth and expansion of the Iver group.

Elvie, a global health and lifestyle brand developing products for women, has extended its Series C funding with a further GBP12.7 million (USD17.5 million) investment.
This investment – an extension to the initial Series C funding announced in July 2021 – takes Elvie’s total Series C to GBP70 million (USD97 million).

The Series C
Ogier has acted as British Virgin Islands counsel on NASDAQ-listed Kismet Acquisition One Corp’s merger with Cyprus-based Nexters Global Limited, in a SPAC business combination valuing Nexters at an enterprise value of USD1.9 billion.
The deal, initially signed at the end of January this year, closed on 27 August following the prior approval of Kismet’s shareholders.
The acquisition price was settled in a combination of shares in a new NASDAQ listed BVI company, Nexters Inc, which will hold the merged business, and an additional USD132 million in cash, which will effectively be reinvested in the business to develop new games

contextflow, a provider of artificial intelligence for medical image analysis, has raised EUR6.7 million in a Series A funding round.
A second closing included an additional EUR2 million from new co-investor Peak Pride Management GmbH, HPH (Hans Peter Haselsteiner) Start-up Unit and current investor APEX Ventures with its “APEX Best in Class” fund. A first closing was led by B&C Innovation Investments GmbH (BCII) and included participation from new co-investor TTIP Beteiligungs GmbH and current investors APEX Ventures, Crista Galli Ventures, IST cube, Nina Capital and Novacapital.

Lawyers from Carey Olsen’s investment funds team in Jersey have advised European mid-market private equity firm Capvis on the disposal of the remaining portfolio of Capvis Equity III to a new Capvis-managed continuation structure.
The transaction was co-led by Committed Advisors SAS and Eurazeo IM, with the continuation vehicle providing time and additional capital for the exit of the existing portfolio companies, hessnatur, arena and Kaffee Partner.
