Macquarie Capital Principal Finance, Pollen Street Capital and Aryza senior management partner to acquire Aryza

Pollen Street Capital has agreed a sale of Aryza Holdings Limited (Aryza) to Atlas Bidco 1 Limited – a company owned by Macquarie Capital Principal Finance, Pollen Street, and Aryza senior management.

Aryza is a global provider of case management and process automation software solutions for regulated industries serving the insolvency, credit, and debt recovery sectors.

Pollen Street first invested in Aryza (originally known as Vision Blue) in 2017. Since then, Aryza has grown rapidly in size, breadth of offering and geographical footprint, now operating from six countries across three continents. More recently, Aryza has developed a platform for M&A completing four deals in the last year. Pollen Street and senior management have elected to reinvest a portion of their proceeds, providing the opportunity to benefit further from the high growth Aryza has experienced to date along with the future potential of this high-quality software platform, owing to attractive market dynamics and future M&A opportunity.

Colin Brown, CEO of Aryza, says: “We are excited for the next chapter of the Aryza story. We have enjoyed working with the Pollen Street team and are pleased that they have decided to reinvest. We are thrilled to partner with the Macquarie team and look forward to the additional capital and expertise they will bring to the business. This will help deliver continued organic and acquisition led growth.”

Adam Joseph, Head of Private Equity, Macquarie Capital Principal Finance Europe, says: “We were attracted by Aryza’s exceptional quality, leading position in lending and insolvency sectors and defensible market position – with the potential for further product and geographic growth. Investing alongside Pollen Street Capital, with whom we have a long-standing relationship, provides a unique opportunity to deploy our flexible capital to offer additional support and the resources required to help achieve Aryza’s future growth ambitions.”

Sharand Maharaj, Managing Director at Macquarie Capital Principal Finance, adds: “We look forward to working alongside Colin and the rest of Management team and bringing our experience in supporting high growth businesses to help continue the impressive momentum they have achieved with Pollen Street Capital to date.”

Michael England, Partner at Pollen Street, says: “Aryza has been a great investment for us to date with industry leading growth rates, exceptionally strong management to become a global leader in a highly attractive marketplace, as well as a platform for future acquisitions. We are delighted to have the opportunity to continue our involvement and enjoy the next stage in the company’s development, and the partnership with Macquarie offers new growth angles with their global franchise and investing capabilities.”

Macquarie Capital Principal Finance will bring substantial institutional expertise and operational experience, as well as an extensive global network and flexible capital to support continued growth of Aryza. Since 2008, Macquarie Capital Principal Finance has provided credit and equity capital on a flexible and bespoke basis for over 800 companies, deploying over GBP29 billion globally. Macquarie Capital represented itself, and Pollen Street Capital was advised by Arma Partners.

The transaction is subject to regulatory approvals, and the terms have not been disclosed.
