Investment banking and asset management firm Alantra has combined with Catalyst Corporate Finance (Catalyst). The transaction, which is subject to Alantra Shareholder’s Meeting and FCA Approval, has a value of over GBP30 million.     Following a transition period, Catalyst will rebrand as Alantra UK and the move will see Catalyst’s partners driving the UK arm of the Alantra global M&A advisory business. The transaction involves 15 Catalyst partners and directors taking a shareholding in the listed group. Pamplona Capital Management has completed its acquisition of biopharmaceutical services company, Parexel. Pamplona has acquired all outstanding shares of Parexel for USD88.10 per share in cash. The transaction was approved overwhelmingly by stockholders on September 15, with more than 98 per cent of votes cast in favour. Parexel stock will stop trading at the close of business today. Josef von Rickenbach will continue to serve as CEO. Kirkland & Ellis advised Nidda Healthcare Holding AG and Nidda BondCo GmbH, companies owned by private equity funds Bain Capital and Cinven, in connection with EUR3.175 billion of syndicated debt financing for Bain Capital’s and Cinven’s takeover of German generic pharmaceutical group STADA Arzneimittel AG. The debt financing consisted of EUR1.7 billion of term loans, EUR1.075 billion of high yield bonds and a EUR400 million revolving credit facility. Berkshire Partners has completed its acquisition of Accela, a provider of civic engagement software solutions for state, county and municipal governments. Abry Partners, an existing shareholder, will remain an investor in the company. Global law firm Ropes & Gray has advised long term client Bain Capital on the sale by Toshiba Corp. of its semiconductor business to a group led by Bain Capital, and includes Apple Inc, Seagate, Kingston, Hoya, Dell Technologies Inc. and SK Hynix. Equiteq, a consulting sector M&A specialist, has advised Certeco, a business technology change consultancy, on its merger with P2 Consulting, a project and programme management consultancy. The deal is backed by Lonsdale Capital Partners, a private equity firm focused on the lower mid-market. The transaction closed on September 26, 2017.   Certeco is one the UK’s largest business technology change consultancies, providing specialist consultancy services to corporates in industries like banking, insurance, public sector, education and media.
