Kirkland & Ellis has advised FountainVest Partners as a member of an investor consortium in a voluntary public tender offer, for all the shares in Amer Sports Corporation, a Finnish sporting goods company with internationally recognised brands including Salomon, Arc’teryx, Peak Performance, Atomic, Mavic, Suunto, Wilson and Precor.
The transaction is valued at approximately EUR5.6 billion (USD6.4 billion).

Private equity firm HIG Capital (HIG) has sold its portfolio company, ACG Materials (ACG) to Arcosa, a manufacturer of infrastructure-related products and services, for approximately USD315 million.
ACG, based in Norman, Oklahoma, mines, processes, and distributes industrial minerals and aggregates including gypsum, anhydrite, limestone, sand, gravel, basalt and downstream food, pharmaceutical, prill and plaster products across a diverse set of end markets including building products, energy, infrastructure, and agriculture.

Glennmont Partners has agreed to divest a portfolio of five onshore wind farms in north-eastern and western France, totalling installed capacity of 59.5MW, to a wholly-owned subsidiary of Falck Renewables, a listed company on the Italian stock exchange, in a EUR37 million deal.
The five onshore windfarms, Bois Ballay (12.5MW), Les Coudrays (10MW), Mazeray (12.5MW), Eol Team (12MW), and Noyales (12.5MW), commenced operations between 2006 and 2013. The deal is expected to close in early 2019.

DVI Equity Partners (DVI), along with VT Companies and DF Enterprises, has made an investment in Luminoso Technologies’ Series B round of financing.
Luminoso’s software applies artificial intelligence (AI) and natural language processing (NLP) to derive insights from text-based and unstructured data such as contact centre interactions, chat-bot and live chat transcripts, product reviews, open-ended survey responses and email. The software natively analyses text in fourteen languages, as well as emoji. Terms of the investment have not been disclosed.

Crestline Investors (Crestline), a credit-focussed institutional alternative asset manager, has closed Crestline Specialty Lending Fund II (SLF II) with over USD800 million in capital commitments.
SLF II will follow the same strategy as its predecessor fund, Crestline Specialty Lending Fund I.
Crestline Direct Lending provides flexible senior debt capital solutions to lower-middle and middle-market businesses, with a focus on senior secured, unitranche and second-lien opportunities ranging from USD15 million to USD100 million.
The closing of SLF II will allow Crestline to continue lending to small and medium-sized businesses, primarily in North America and Western Europe. Crestline Direct Lending
Investor services firm SGG Group, which is backed by Astorg, has successfully completed its acquisition of Augentius having received teh relevant regulatory approvals.
This acquisition reinforces SGG Group’s position as the fourth largest independent investor services firm and one of the top three independent administrators to the alternative investment community in the world, with the deal growing its assets under administration to over USD400 billion, and further strengthens its reach and footprint.
