Aurelius Equity Opportunities SE & Co has acquired Norwegian automotive aftermarket wholesaler Hellanor from Nordic Forum Holding, a 100 per cent subsidiary of HELLA. Headquartered in Skytta near Oslo, Hellanor generates circa EUR70 million in revenues with approximately 250 employees.   The transaction is scheduled for completion in the fourth quarter of 2018.   Hellanor supplies its customers, typically automotive workshops, car dealerships and local wholesalers, with spare parts from its central warehouse in Skytta as well as from 19 branches across the country. Design-led SME housebuilder Backhouse has secured a GBP50 million investment from alternative asset manager Cheyne Capital to support major growth plans for the company in 2019 and beyond. This new investment by Cheyne Real Estate Credit (CRECH) Fund V – Opportunistic takes the form of a joint venture, giving Backhouse access to the capital required for the next phase of its expansion as it pursues its ambition of delivering 500 houses a year by 2022.   It follows previously-formed joint ventures with the Housing Growth Partnership on two of Backhouse’s current sites in Castle Cary and Westbury. An affiliate of LibreMax Capital (LibreMax), an asset management firm specialising in structured credit, is to acquire Trimaran Advisors, a US-based investment manager with expertise in managing collateralised loan obligations (CLOs), from KCAP Financial (KCAP). Trimaran currently manages six CLOs with approximately USD3 billion of assets under management. Following the close of the transaction, Trimaran’s Chief Investment Officer and head of its CLO platform, Dominick Mazzitelli, will continue to lead the business, supported by the existing management team.   “Trimaran is a well-respected CLO manager with a seasoned team of investment professionals, whose strategy complements our deep structured credit expertise,”
Willdan Group has completed its previously announced acquisition of Lime Energy Co, a national provider of energy solutions for utilities and their commercial customers. Under the terms of the agreement, Willdan acquired all of the outstanding shares of capital stock of Lime Energy for USD120 million in cash, exclusive of customary holdbacks and adjustments.   Willdan expects the acquisition of Lime Energy to further expand and diversify Willdan’s customer base and to better position Willdan to take advantage of anticipated upcoming contract and budget expansions in California and the Northeastern United States.
The Riverside Company, a global private equity firm, has added Atlas Knowledge (Atlas) to its Mintra Group platform. This is the second add-on for Mintra since Riverside’s 2014 investment in the company. Headquartered in Aberdeen, Scotland, Atlas provides digital learning solutions for safety critical industries, primarily for the oil and gas sector. O’Melveny has represented Finisar Corporation (NASDAQ: FNSR), a global technology specialist in optical communications, in a definitive agreement under which II-VI Incorporated (NASDAQ:IIVI), will acquire the company in a cash and stock transaction valued at approximately USD3.2 billion. The O’Melveny team was led by David Makarechian, Silicon Valley Partner and Chair of the Firm’s Emerging Technologies Practice, and San Francisco counsel Noah Kornblith. 

   The transaction is expected to close in the middle of calendar year 2019, subject to approval by each company’s shareholders, antitrust regulatory approvals, and other customary closing conditions.
