State Street is to work with Fidelity National Information Services (FIS) to distribute its GX Private Equity Index (PEI), a benchmark for comparative analysis of private equity performance, to nearly 300 global asset management clients, including private equity managers, investors and third-party administrators. LongueVue Capital (LVC), a New Orleans-based private equity firm, has held the final closing of LongueVue Capital Partners III (LVC III). Building on LVC's predecessor funds, LVC III will focus on private equity investments in lower middle market companies across a variety of industries.   LongueVue Capital welcomed new institutional investors into the partnership, including The University of Texas Investment Management Company (UTIMCO).   In addition to the final closing, LVC received a Small Business Investment Company (SBIC) licensure of LVC III. The fund was oversubscribed and closed at its hard cap of USD252 million, including SBIC leverage.   LongueVue
The Russian Direct Investment Fund (RDIF) has made an investment in InfoWatch group, a Russian specialist in corporate information security. InfoWatch focuses on identifying internal threats and protecting information, as well as identifying and preventing targeted external attacks.   RDIF will hold a minority equity stake in the Russian assets of InfoWatch group, which comprises such brands as InfoWatch, Cezurity, Taiga and Attack Killer.   RDIF funds will be used to increase the company’s export potential and localize products and solutions that ensure information security for companies in the foreign markets. Panasonic Corporation is to establish a new company, Panasonic Ventures, in April 2017, which will be based in California and invest in start-up companies mainly in the US, with initial investments of around USD100 million. Omnes Capital, with the support of co-investors Capital Transmission (Banque Cantonale de Genève) and Bpifrance, has acquired a stake in Groupe RGF alongside buyer Pascal Daviet as part of a management buy-in (MBI). Joël Béraldin, director and 100 per cent shareholder in the company, has sold all of his shares and has acquired minority stakes in the new transaction.   Based in Pratz, the group specialises in the design and production of plastic and/or metal technical small parts in niche markets. Groupe RGF covers the entire production chain, including design, creation of moulds, injection, undercutting, overmoulding and automated assembly. The
O’Melveny has represented Berkeley Research Group, a global strategic advisory and consulting firm, in connection with its USD62.5 million investment from affiliates of Endeavour Capital. Proceeds from the investment will be used to provide additional working capital to support BRG’s continued expansion across its core service lines.   The O’Melveny team was led by partners Sean Monroe and Chuck Baker, along with associates Alexandra Piarino and Evie Whiting. CVC Capital Partners Fund VI has completed the acquisition of Corialis (Core Innovative Aluminium Integrated Solutions), a European manufacturer of aluminium profiles and systems, supplying door, window and conservatory manufacturers in both the new construction and refurbishment markets, from Advent International. While the current M&A environment is still trending to be more favourable to sellers as has been the case over the past two years, there are indications to suggest that certain terms are slightly less seller favourable than in 2015. This is according to law firm Seyfarth Shaw’s fourth edition of its Middle-Market M&A SurveyBook of Key M&A Deal Terms, which analyses over 150 middle-market (<USD1 billion) publicly available private target acquisition agreements signed in 2016.   The Survey focuses on the key deal terms comprising the “indemnity package” often included in private target acquisition agreements to address the issue
