Amadeus is to acquire Navitaire, a wholly owned subsidiary of Accenture and a provider of technology and business solutions to the airline industry, for USD830 million. Navitaire, which focuses on the low-cost and hybrid-carrier segments of the airline industry and has a global customer base of more than 50 operators, provides revenue-generation and cost-streamlining solutions in the areas of reservations, ancillary sales, loyalty, revenue management, revenue accounting and business intelligence.   The addition of Navitaire’s portfolio of products and solutions for the low-cost segment will complement Amadeus’ Altéa suite of offerings for its largely full-service carrier customer base, giving the

Atlas Holdings has sold its portfolio company Forest Resources, a North American manufacturer of industrial paper and packaging products, to PaperWorks Industries and New-Indy Containerboard, in two separate transactions. PaperWorks has acquired CanAmPac, ULC, including coated recycled board (CRB) producer Strathcona Paper and folding carton manufacturer Boehmer Box. New-Indy has acquired Forest’s U.S.-based business, comprised of Hartford City Paper, Shillington Box and IVEX Specialty Paper. Terms of the two transactions were not disclosed.   Forest Resources was formed in 1999 with the acquisition of Hartford City Paper. Campbell Lutyens has appointed Mateja Maher as deputy general counsel. Maher joins the firm from Kirkland & Ellis’ London practice where he was a Partner. Wool Overs, the online and mail order knitwear retailer, has been acquired by private equity firm Langholm Capital. Clearwater International advised the founders of Wool Overs, Mark and Clare Shenton, on the sale. Private equity firm Permira has successfully completed the acquisition of Medora Snacks (Medora) and Ideal Snacks Holding Corporation (Ideal). JTC Cayman acquisition bolsters fund administration capabilities
JTC has added significantly to its global fund servicing capabilities with the major acquisition of Kleinwort Benson’s Fund Administration business in the Channel Islands and South Africa. The transaction, which relates to the whole of Kleinwort Benson’s Fund Administration business in Guernsey, Jersey and South Africa, will give JTC its first permanent presence in South Africa, grow its global headcount by 40 per cent to a total of around 450, and augment its existing strengths across the alternative investment fund spectrum, including the private equity, debt and real estate asset classes. Franklin Square Capital Partners has provided a USD150 million first lien secured term loan to Latham Pool Products, a manufacturer of in-ground residential swimming pools and components. Latham is a portfolio company of Littlejohn & Company (Littlejohn), a Greenwich, CT based private equity investment firm focused on the middle market.  The financing was provided by FS Investment Corporation (NYSE: FSIC), FS Investment Corporation II (FSIC II) and FS Investment Corporation III (FSIC III), BDCs managed by affiliates of Franklin Square and sub-advised by GSO / Blackstone Debt Funds Management LLC (GDFM), an affiliate of GSO Capital Partners LP (GSO).  
Lawyers at Baker Botts advised clients on 35 major merger & acquisition transactions valued at a total of USD65.6 billion during the first half of 2015.
