Darby Private Equity’s Converging Europe Mezzanine Fund (DCEMF) has signed an agreement to exit its equity and mezzanine holdings in Sirma, a Turkish bottled water and beverage manufacturer, in connection with a sale of a majority interest in Sirma to Danone.
DCEMF’s exit is subject to the closing of the transaction with Danone. The transaction terms have not been disclosed.
DCEMF made a mezzanine investment in Sirma in 2010 to provide long-term funding for the growth of the company. DCEMF made a follow-on equity and mezzanine investment in 2011 to finance Sirma’s new factory.

German Equity Partners IV (GEP IV), a fund managed by the independent German private equity firm ECM Equity Capital Management, has acquired the MediFox Group, headquartered in Hildesheim, in partnership with the company’s management in an ownership succession transaction.
The founder and majority shareholder, who has developed MediFox Group to become a leading software provider in the market for nursing care in Germany, will withdraw from the business. In 2010 he transferred responsibility for daily operations to the current managing directors Christian Städtler and Dr Thorsten Schliebe.

The Resolute Fund, an affiliate of The Jordan Company, has entered into a definitive agreement to sell Reinhold Holdings to HEICO Corporation.
Reinhold is a manufacturer of advanced custom composite components and complex composite assemblies for commercial aviation, defence and space applications. Financial details of the transaction, which is subject to customary closing conditions, have not been disclosed.
Acquired by The Jordan Company in 2006 and headquartered in Santa Fe Springs, California, Reinhold produces high-quality, heat resistant, advanced custom composite components and assemblies. International law firm Osborne Clarke has advised Edi and Danny Truell on their latest growth capital investment in Imagine Publishing.
Since 2005, the Truells have been investing in Imagine publishing, a technology content producer with a portfolio of magazines, websites, bookazines, apps and other multimedia products.
Partners Greg Leyshon and Rob Wood led the team and were assisted by Vicky Hill, solicitor (corporate) Hugh Jones, partner (banking) and Erika Jupe, partner (tax).
BMC Software is to be acquired by a private investor group led by Bain Capital and Golden Gate Capital together with GIC Special Investments and Insight Venture Partners.
Under the terms of the agreement, affiliates of the investor group will acquire all outstanding BMC common stock for USD46.25 per share in cash, or approximately USD6.9bn, representing an attractive premium to the company’s unaffected stock price.
The agreement was approved by unanimous vote of those directors present.

Burger King has sold its wholly-owned German subsidiary and its 91 company-owned restaurants in Germany to Yi-Ko Holding, owned and operated by Ergün Yildiz, a long-standing Burger King restaurant operator in Germany, and Alexander Kolobov, who has been driving the company’s expansion in Russia.
The sale is part of Burger King’s global refranchising strategy. As part of the transaction, Yi-Ko Holding has agreed to develop new Burger King restaurants during the next five years and remodel an additional 57 Burger King restaurants during the next 18 months.

Electra Partners has received a binding offer for Allflex Holdings, a manufacturer and distributor of plastic and electronic animal identification tags, from funds advised by BC Partners.
The offer is subject to consultation with the relevant works council in France and certain regulatory approvals.
If the offer is accepted, and reflecting current exchange rates, acceptance of the offer will generate gross proceeds of USD630.5m to clients of Electra Partners. This includes Electra Private Equity PLC which will receive USD398m (GBP256.7m) on closing, representing a gross return of 15x original cost (including income) over the 14 years of investment;
Backstop Solutions Group, a Software-as-a-Service provider to the alternative asset management industry, has acquired the PerTrac CMS product line, a customer relationship management tool built exclusively for the institutional investment community.
The business was acquired from eVestment, a provider of institutional investment data and intelligence solutions. Terms of the deal have not been disclosed.

CMS Cameron McKenna has advised a consortium led by Bancroft Private Equity on its sale to East Capital Explorer of a majority stake in Starman, a cable TV, broadband internet and voice cable services provider in Estonia.
East Capital Explorer will acquire 67.72 per cent stake in the company, with the remaining stake being held by Starman’s founders.
