Private equity firm The Riverside Company has added Pennsylvania-based TerraSim to its Bohemia Interactive Simulations sro platform.
Bohemia develops and provides games for training technology and interactive simulation systems for defence, emergency and mission-critical customers.
TerraSim delivers to Bohemia its capabilities in automated terrain generation software, which is a highly specialised niche.
“TerraSim builds the world’s best terrain generation software,” says Riverside partner Martin Scott, who leads Riverside’s software and IT specialisation in Europe. “This acquisition accelerates Bohemia’s technical capabilities and should open new opportunities for the company.”

Edmond de Rothschild Investment Partners’ BioDiscovery 4 – its fourth fund dedicated to life sciences – has made its first investment through its participation in the series A financing round of Allecra Therapeutics, which it co-leads with Forbion Capital Partners.
EMBL Ventures is also part of the syndicate.

BDA, along with its co-adviser in France, Easton Corporate Finance, has advised Aixam Mega’s shareholders, including the majority shareholder AXA Private Equity, on the divestment of Aixam Mega Group to Polaris Industries of the US, a manufacturer of snowmobiles and all-terrain vehicles.
Despite a challenging economic environment in Europe, BDA and Easton mobilised their international teams to identify, access and motivate potential industrial buyers and thus offered Aixam’s shareholders a choice between several offers coming notably from North America and Asia.

The number of mergers and acquisitions deals that leak has declined dramatically over the last two years, as the risks from leaking rise and regulatory pressures increase, according to research from IntraLinks.
The research study, conducted with the M&A Research Centre at Cass Business School, London and Remark, examined more than 4,000 transactions from 2004 through 2012 and interviewed 30 M&A practitioners in Europe and the US. It found that leaked deals take longer to execute and are significantly less likely to close.
The research interviews also showed that most deal leaks are deliberate, with leaking by sellers
HgCapital has held the final closing of its latest private equity fund, HgCapital 7.
The GBP2bn fund will provide broad coverage of the Northern European mid-market through its four sector teams, dedicated portfolio management group, and investment offices in London and Munich.
Prior to the launch, HgCapital set the hard cap at GBP2bn in accordance with its investment strategy, diversification targets and capacity to invest and manage its portfolio to achieve optimised returns for investors. HgCapital maintained this hard cap despite the fund being significantly over-subscribed.

Gryphon Investors, a San Francisco-based private equity firm, has completed the sale of portfolio company TrustHouse Services Group to Elior SCA, a provider of contract and concessions catering headquartered in Paris, France.
Elior partnered with its two main shareholders and TrustHouse’s existing management for the acquisition.
Terms of the transaction have not been disclosed.
Social media marketing company SocialFlow has secured USD10m in a series B funding round.
Fairhaven Capital led the round and was joined by existing investors SoftBank Capital, RRE Ventures, AOL Ventures and Betaworks, as well as new investors kbs+ Ventures and Rand Capital.
SocialFlow will use these funds to accelerate its range and reach, expand its product portfolio and further develop its partner base as the market for intelligent social network engagement and analytics platforms expands.

A cross-office team from Squire Sanders has advised VTB Capital, the investment arm of Russia’s second-biggest lender, in its purchase of a minority stake in Russian satellite-television provider Tricolor TV for an undisclosed sum.
Tricolor TV is the brand of National Satellite Company, the largest satellite television operator in Russia and Europe, with more than 12.4 million registered subscribers and 9.12 million paying subscribers.

National Financial Partners (NFP), a provider of benefits, insurance and wealth management services, is to be acquired by affiliates of private equity firm Madison Dearborn Partners.
Under the terms of the agreement, NFP shareholders will receive USD25.35 in cash for each share of NFP common stock they own, in a transaction with an equity value of approximately USD1.3bn, which includes the full value of the company’s convertible debt.
The purchase price represents a premium of approximately 26 per cent over NFP’s closing share price of USD20.05 on 12 March 2013, the last day of trading prior to press
