Alpha Real Capital (Alpha), a specialist manager of secure income real assets, has closed its largest solar transaction to date with the acquisition of Innova Energy, a GBP86 million multi-asset operating portfolio.
Précis Capital Partners (Précis Capital), a real estate development lending platform, has entered into a funding partnership with the Global Credit segment of investment firm Carlyle. Funds advised by Marathon Asset Management are to acquire Kaléo, a privately held pharmaceutical company based in Richmond, Virginia. The total base purchase price is approximately USD310 million in cash, less certain adjustments, and includes potential net revenue-based milestone payments of up to approximately USD70 million in cash for the 2022 and 2023 fiscal years, in a transaction that will provide liquidity for Kaléo shareholders upon closing. Africa-focused private investment firm Helios Investment Partners (Helios) has secured an ESG-linked capital call facility for Helios Investors IV, LP (Helios IV). Rand Merchant Bank and Standard Chartered Bank acted as Arrangers and Sustainability Coordinators. The interest rate of the Helios IV capital call facility is pegged to ESG performance targets, set by lenders Rand Merchant Bank and Standard Chartered Bank. Individual ESG ratings of the Fund’s portfolio companies will be determined by independent ratings agency. Private equity firm Montagu has completed its investment in Waystone, a provider of institutional governance, risk, and compliance services to the asset management industry, while Hg, a global software and services investor, is also joining as a strategic investor and joint shareholder in the firm. Montagu first announced its investment in Waystone in July 2021. Hg’s investment is subject to regulatory approval and customary closing conditions. Prevail Partners, an affiliate of Prevail CInfoWorks, has led a USD10 million Series A funding round in PolyPhotonix Limited, a developer of a noninvasive treatment for diabetic retinopathy.
Napier Park Global Capital (Napier Park) and Ethical Power Group (Ethical Power) have formed a joint venture, Lynher Energy, to invest in large-scale solar and battery storage assets in the UK and Europe. Ethical Power will act as servicer to the joint venture, including the provision of services relating to development, construction, operations and maintenance, and asset management. The partnership intends to invest in development assets to which Ethical Power can bring its extensive experience in the design, optimisation and construction of renewable energy projects to build high-quality, valuable assets. BigTime Software, a provider of cloud-based software for professional services firms, has secured a USD100 million strategic growth investment from Vista Equity Partners (Vista), a global investment firm focused exclusively on enterprise software, data and technology-enabled businesses.
Global alternative investment firm Värde Partners has agreed to sell its 52 per cent stake in Trastor REIC (Trastor), a real estate investment company, to Piraeus Bank for EUR98 million. The deal will take Piraeus Bank’s total shareholding to 97 per cent. Trastor owns a portfolio of 59 real estate assets in Greece with a gross asset value of over EUR315 million across the retail, office and logistics sectors, comprising more than 238,000 sq m of total leasable area.   Värde Partners initially bought its stake in June 2016, in a deal that formed part of Piraeus Bank’s wider restructuring
StepStone Group, a secondaries investor across private markets, has recapitalised early-stage venture capital investor Vertex Ventures Israel’s (Vertex Israel) Vertex Israel Fund IV (Fund IV). StepStone was the sole investor in the GP-led strip sale transaction, valued at approximately USD160 million, inclusive of future commitments. The transaction provides partial liquidity to existing Fund IV limited partners while allowing both Vertex and its fund investors to realise further upside as the portfolio’s assets mature.
