Innova Capital, a private equity firm operating in the CEE, is to purchase existing shares from the founders of Bielenda Kosmetyki, one of the biggest domestic producers of facial care cosmetics in Poland. The firm will also support the business in financing the acquisition of the Polish cosmetics brands portfolio from Norwegian player Orkla. The transaction requires the regulatory approval of the Polish Office of Competition and Consumer Protection.

RBC Trust (Trinidad and Tobago) Limited, a subsidiary of RBC Financial Caribbean Limited, has committed USD10 million to MPC Capital’s Caribbean listed feeder-vehicle to further grow the portfolio of renewable energy assets. RBC Trust made this investment on behalf of its managed clients’ accounts. The feeder-vehicle was established to enable local investors such as pension funds, insurance companies, or credit unions to participate and benefit from the energy transition in the region and has collected more than USD 30 million from regional institutional investors since 2019. Equistone Partners Europe (Equistone), a European mid-market private equity firm, is to sell its majority shareholding in Winterbotham Darby, a supplier of chilled foods to UK supermarket chains, to PAI Partners (PAI).
LDC will also exit its minority shareholding in Winterbotham Darby alongside Equistone, while the company’s management will remain invested in the business. The financial terms of the transaction are undisclosed and completion remains subject to the relevant regulatory approvals.

Riverstone Holdings (Riverstone) is to buy International-Matex Tank Terminals (IMTT) from Macquarie Infrastructure Corporation for total consideration of USD2.685 billion subject to customary closing adjustments.Established in 1939, IMTT is an industry leader in the storage and handling of bulk liquid products that are used in energy, industrial, consumer, and transportation industries. The Company operates 19 terminals and has total storage capacity of approximately 48 MMbbls.

Private equity firm Cinven and GIC, Singapore’s sovereign wealth fund, are to acquire specialist insurance and (re)insurance broker, Miller, from its partners and corporate member, Willis Towers Watson (WTW). Financial details of the transaction have not been disclosed.

PAI Partners, a leading European private equity firm, through its newly raised fund specialised in mid-market opportunities, PAI Mid-Market Fund (PAI MMF), has acquired a majority stake in Angulas Aguinaga, a Spanish specialist in modern fish and fish-based ready meal solutions, from private equity firm Portobello Capital.After the signing of this agreement, the current shareholders will reinvest in the company and continue to hold a 49.9 per cent stake. The completion of this transaction is subject to customary regulatory approvals.
