Bertelsmann is to acquire the US online education provider OnCourse Learning from the private equity company CIP Capital, for an amount in the mid-nine-digit euro range.
The transaction further strengthens Bertelsmann’s presence in the US. Alongside the acquisitions of the Random House book group in 1998, the online education provider Relias in 2014, and the takeover of a 75 per cent majority stake in Penguin Random House in 2017, this purchase is one of Bertelsmann’s largest transactions in the American market. Brazos Private Equity Partners, a Dallas-based private equity firm, has sold BlackHawk Industrial Distribution, an independent value-added industrial distributor of cutting tools, abrasives, and MRO products, to Snow Phipps Group.
Financial terms of the transaction have not been disclosed.

Graycliff Partners has made an investment in Graybill Processing (Graybill), a food by-product recycling company based in Pennsylvania, partnering with Dallas-based private equity company NCK Capital, to provide subordinated debt and equity financing to the company.
Graybill has recycled food by-products in Pennsylvania for over 20 years. The Company collects food manufacturing by-products such as packaged candy, raw candy inputs and bakery goods and processes it into quality, high-energy animal feed for hogs, dairy cattle and beef cattle.

SHS Gesellschaft fuer Beteiligungsmanagement, MBG Baden-Württemberg and VC Fonds BW announced that SHS has sold its shareholding in Emerging Implant Technologies (EIT), a manufacturer of 3D-printed titanium interbody implants for spinal fusion surgery, to Johnson & Johnson Medical.
SHS became EIT’s lead investor in September 2016 and has supported the company’s growth strategy ever since. Financial terms of the deal have not been disclosed.

Private equity firm Thompson Street Capital Partners (TSCP) has partnered with management to acquire Seattle-based LifeSpan Biosciences (LSBio), a founder-led developer and distributer of antibodies and related reagents primarily to the academic and pharmaceutical research markets via its e-commerce platform.
Terms of the transaction have not been disclosed.

Talis Capital (Talis), a London-based venture capital firm focussed on technology companies, has made an investment of USD2.5million into Learning People, the UK’s leading online training company, and SkillsFox, its B2B arm serving corporate training and development needs.
The investment comes at a time when the corporate e-learning market is worth USD12 billion and is expected to grow at a CAGR of 11 per cent until 2020, with companies’ demanding specialist skill sets such as cyber-crime prevention for current and potential employees.

Pan-European private equity firm Agilitas’ portfolio company Recover Nordic has acquired JK Kloakservice (JKK).
Recover Nordic is a leading Nordic provider of damage control, emergency response and environmental services. The JKK acquisition brings the total number of add-on acquisitions to fifteen since Agilitas’ buyout of Recover Nordic in 2013.
JKK will work closely with Recover Nordic’s existing damage control and environmental services business in Denmark, expanding the environmental services footprint of the group which was established earlier this year through the acquisition of Sydslam.

Octopus Investments, part of Octopus Group and the largest provider of venture capital trusts (VCTs) in the UK, has opened fundraising for Octopus Titan VCT (Titan).
Octopus is targeting another GBP120 million fundraise for its flagship VCT, following last year’s record-breaking fundraise when Titan raised a total of GBP200 million. If fully subscribed, the total fund size could rise to over GBP800 million AUM, providing significant capital for investment in early stage businesses across the UK.

Nexxus Iberia’s Nexxus Iberia Private Equity Fund I has completed its second investment with the acquisition of a minority stake, in conjunction with Capzanine, Dorsia, Eva and Origen, a franchise business operating in women’s health in Spain.
The consortium made of Capzanine and Nexxus Iberia will provide financial and strategic support to the founders, Manuel and Jorge Fernandez, who will remain the majority shareholders of the group and will continue to manage the business. The Group operates three brands being Dorsia (aesthetic surgery and medicine treatments), Eva Fertility (assisted reproduction and fertility services in Spain), and Origen (mental health therapies).
