Monroe Capital has acted as sole lead arranger and administrative agent on the funding of a USD28 million senior credit facility to support the merger of two consumer products research companies.   The merger will form the leading consumer products and testing research company in its industry.   The combined company will offer recruiting panellists for research studies, designing and administering tests, collecting all relevant data and analysing data for large blue-chip customers.
Maples and Calder has assisted aircraft leasing company Avolon Holdings in connection with its USD10 billion acquisition of the aircraft leasing business of CIT Group.   The acquisition has doubled the scale of Avolon’s business to create the third largest aircraft leasing platform in the world, with a combined fleet of 868 aircraft valued at over US43 billion.   Maples and Calder advised Avolon on all Cayman Islands and Irish law aspects of the financing, as well as the acquisition itself. FIS is to sell its majority ownership stake in Capco to Clayton, Dubilier & Rice (CD&R), establishing Capco as an independent company.   FIS will sell approximately 60 per cent equity interest in its Capco business to CD&R funds and receive net cash proceeds of USD477 million.   Upon closing, FIS will also retain approximately 40 per cent equity interest in the business.   The transaction, which includes other consulting-related assets, is expected to close by early third quarter, subject to required regulatory approvals and customary closing conditions.   Capco, the public brand for FIS’ management consulting offering, is a
