OMERS Private Equity, the private equity arm of OMERS, is to to sell MatrixCare Holdings (MatrixCare) to ResMed Operations (ResMed) for USD750 million.
Based in Minneapolis, Minnesota, MatrixCare is an industry leading, SaaS-based, long-term post-acute care (LTPAC) technology provider used in more than 13,000 facility-based care settings and 2,500 home care, home health and hospice organisations.

Noerr has advised the Danish parent cooperative of the Arla Foods Group, Arla Foods amba, on the cross-border merger of its German members MUH Arla eG and Hansa Arla Milch eG by the formation of a Danish European Cooperative Society (SCE), namely Arla Foods 2018 SCE.
Other participating cooperatives in the merger were the Group’s British member The UK Arla Farmers’ Cooperative Limited as well as its two Belgian members Büllinger–Sankt Vither Molkereigenossenschaft and EUREGIO Arla Genossenschaftsmolkerei. The merger was registered with the Danish Business Authority on 1 October 2018.

Springrowth SGR, a wholly-owned subsidiary of Muzinich & Co Ltd, has held the first close of the Diversified Enterprises Credit Fund (DECF), the first parallel lending vehicle to be launched in Italy.
The DECF, which is a closed-ended vehicle with an eight-year investment term, has received EUR210 million in commitments from a broad group of Italian and international institutional investors. The European Investment Fund (EIF) and the Cassa Depositi e Prestiti (CDP) acted as anchor investors in this initiative to bring capital market funding to Italian SMEs in parallel with the banking sector.

Foresight Group (Foresight) has invested GBP2.5 million to support the growth of North Wales-based software provider Cimteq Limited.
This is the thirteenth investment by the GBP58 million Foresight Regional Investment Fund (FRIF), focussed on North Wales and the North West of England. Since December 2015 the Fund, backed by local institutional investors including the Clwyd Pension Fund, has supported the creation of 260 new jobs across the investment area. Cimteq marks the Fund’s first investment into the thriving North Wales SME community, supporting growth in the region.

Cleantech company Black Bear has secured an additional EUR5 million from Capricorn Venture Partners and Particon, who join an earlier EUR11 million growth financing round.
Using this growth capital, Black Bear aims to scale up its “Tire to Carbon Black” technology, a carbonisation process used to transform tires into recovered Carbon Black for use in the production of tires, technical rubber, coatings, plastics and inks.
Black Bear operates an industrial-scale prototype plant in partnership with Kargro, one of Europe’s foremost recyclers of tires. The plant, located in Nederweert, the Netherlands, is capable of processing more than one million tires
Gen Cap America, a private equity firm focussed on lower middle market buyouts, has sold CPS Distributors (CPS) to an undisclosed buyer.
Terms of the transaction have not been disclosed.
CPS was founded in 1890 and is the largest wholesale distributor of professional pump, irrigation and landscape supplies in the Rocky Mountain Region. Customers include contractors for commercial facilities and municipalities, as well as landscape, residential and maintenance contractors. Gen Cap America acquired CPS in October 2012 when partnering with management to buyout the previous owner.

Foresight Group (Foresight) has made a GBP1.5 million growth capital investment into Inovo Robotics Limited (Inovo) on behalf of the Foresight Williams Technology EIS Fund.
Inovo is developing a low-cost collaborative robot (cobot) that can integrate into existing workforce processes. Inovo’s modular design means the cobot can be easily adapted to varying customer requirements.
Henry Wood and Jonathan Cheung, previously senior engineers at Northrop Grumman, founded Inovo in 2016. Both founders possess deep technical expertise and experience of delivering complex engineering development projects and, between them, they have more than 30 years of combined experience in robotics and engineering.
