Warburg Pincus and KKR in talks to acquire medical packaging firm Gerresheimer

A consortium led by private equity giants Warburg Pincus and KKR s in discussions to acquire German packaging and medical equipment manufacturer Gerresheimer AG, according to a Bloomberg report citing sources familiar with the matter.

The private equity duo has emerged as the leading contender for the acquisition after forming a joint bid, outpacing other interested parties—including Bain Capital, which has reportedly exited the process.

Gerresheimer, a key supplier of specialised pharmaceutical packaging and drug delivery systems, plays a crucial role in the production of medical devices, including injector pens used for weight-loss drugs such as Novo Nordisk’s Wegovy. The company currently holds a market capitalisation of approximately €2.74bn ($2.99bn), according to LSEG data.

In February, Gerresheimer confirmed it was in early-stage discussions with private equity investors regarding a potential sale, though no formal agreement has been reached.
The company, which also serves the cosmetics and food and beverage industries, recently revised its revenue guidance for 2025. It now anticipates organic revenue growth of 3% to 5%, a significant reduction from its previous forecast of 7% to 10%, due to declining demand in its non-healthcare segments.

Warburg Pincus, KKR, and Gerresheimer have declined to comment on the ongoing negotiations.
