TowerBrook Capital Partners is to sell Metallo Holdings 3 (Metallo), a Belgian-Spanish non-ferrous metals recycling Group, to Aurubis AG. Metallo is a recycling and refining company with around 530 employees at its main sites in Belgium and Spain. In the fiscal year 2018, Metallo generated revenues of approximately EUR 985 million. With the transaction, Aurubis continues to actively pursue its multi-metal and recycling strategy.   The closing of the transaction is subject to clearance by the responsible merger control authorities and is expected to take place towards the end of the year. Orrick has advised Michelin on its acquisition of the Masternaut Group from majority owners Summit Partners and Fleetcor Technologies for a transaction value equal to 8x 2018 EBITA before synergies. The transaction closed on 22 May, 2019. Founded in 1996, Masternaut is one of Europe’s largest telematics providers, operating primarily in the UK and France. Private equity firm LDC is to sell fast-growing holiday park operator, Away Resorts, to Bregal Freshstream. LDC, part of Lloyds Banking Group, will retain a minority shareholding as part of the deal. Founded 10 years ago by leisure entrepreneur Carl Castledine, Away Resorts now operates six leading resorts in prime UK destinations, including Tattershall Lakes in Lincolnshire and Whitecliff Bay on the Isle of Wight, hosting almost 200,000 holiday-makers each year.   LDC invested in Away Resorts in 2015 to support the management team’s expansion plans and the development of its existing sites. Fountain Healthcare Partners (Fountain) has held the initial closing of its third fund, Fountain Healthcare Partners Fund III (Fund III) with EUR118 million of committed capital, exceeding its initial target raise of EUR100 million. Fund III is a dedicated life science venture capital (VC) fund and brings Fountain’s total capital under management to EUR294 million. Within the life science sector, Fund III will primarily focus on specialty pharmaceuticals, biotechnology and medical devices. IW Capital – a debt, equity and EIS investment specialist based in the heart of Mayfair – has closed its first secured debt fund. The GBP2.0million Fund is the first in a series of diversified investment vehicles that IW Capital has launched over the past few months.  With the close of this first senior debt fund, IWC has now raised circa GBP10 million to support SME Funding.   The Fund will operate for three years, with a 12-month run-off period, and will aim to pay investors a minimum return of 7.0 per cent per annum. Building on the acquisition of property finance firm Titlestone, Paragon’s development finance business has led the way for new lending within the specialist lender’s Commercial Lending division. Paragon’s half year results announced show Commercial Lending has seen strong business growth as it focuses on helping British SMEs gain access to funding. Across Commercial lending, which includes development finance, asset finance, motor finance and structured lending, lending increased by 69 per cent to GBP455 million and there was a three-fold increase in underlying profits to GBP20 million. Private equity firm OpenGate Capital has acquired SMAC, a global manufacturer of waterproofing and building envelope solutions, from Colas Group. Financial terms of the deal have not been disclosed. SMAC operates across two divisions: Travaux and Industrie. SMAC Travaux specialises in waterproofing solutions typically utilized on flat roofs structures and facades. SMAC Industrie manufactures bituminous membranes, skylights and resins. As one of the largest players in the segment, SMAC has a dedicated service and maintenance business, SMAC Assistance Service, and Essemes Services, focused on fire safety maintenance.
