Tiedemann Group (Tiedemann), Alvarium Investments Limited (Alvarium), and special acquisition company (SPAC) Cartesian Growth Corporation (Cartesian) jointly announced entry into a definitive business combination agreement.
Thomas H Lee Partners, a private equity firm investing in growth companies, is to acquire Brooks Automation’s (Brooks) Semiconductor Solutions Group business (or automation business) in a transaction valued at USD3 billion.  The transaction is expected to close in the first half of calendar year 2022 upon satisfaction of customary closing conditions and regulatory approvals. This agreement will fulfil Brooks’ intention to separate its business into two independent companies, a highly innovative automation technology company with significant expertise in semiconductors and meaningful white space to expand into multi-market automation, and a pure play life sciences company, which will remain public
Levine Leichtman Capital Partners (LLCP), a Los Angeles-based private equity firm, has closed the bLLCP Lower Middle Market Fund III (LMM III) with total capital commitments of USD1.38 billion.  LMM III, which was significantly oversubscribed and closed at its increased hard cap, received strong support from existing and new institutional investors across North America, Europe, the Middle East, and Asia.   LMM III will invest primarily in US-based lower middle market companies with less than USD50 million of revenues. IMServ, a UK specialist in smart metering technology and data for the industrial, commercial, and domestic electricity sectors, has partnered with energy transition leader private equity firm Bluewater through a successful acquisition from international company Schneider Electric providing energy and automation digital solutions for efficiency and sustainability. The value of the transaction has not been disclosed.   IMServ is a leading provider of electricity metering services (both installation and management of smart and advanced meters), data services (smart and advanced meters data analysis and management) and visualisation services. Cairngorm Capital Partners has merged two of its portfolio companies, Grant & Stone Group and Independent Builders Merchant Group (IBMG), creating a builders’ merchant group with 123 branches, revenues in excess of GBP500 million and over 1,700 employees.  The new Group extends from Cornwall to Kent and comprises builders’ merchants, electrical wholesalers, plumbers’ merchants, kitchen and bathroom showrooms, roofing merchants, a timber processing site and a dedicated ecommerce business. Both Grant & Stone and IBMG have prospered from Cairngorm Capital’s expertise in supporting their transformational growth. 3i Group (3i) is to invest in Dutch Bakery, a bakery group specialised in home bake-off bread and snack products.  Headquartered in Tilburg, Dutch Bakery operates six bakeries across the Netherlands. 3i is investing to drive the company’s international growth strategy in the fragmented European private label market for bake-off products. Apex Group Ltd (Apex), a global financial services provider, has launched a Carbon Footprint Assessment & Reporting service to meet growing market demand.  The new offering helps funds and companies to measure the sources of emissions, implement plans to reduce their carbon footprint and provide a mechanism to offset any residual emissions.   The launch coincides with new global research by Apex which found that 91 per cent of private equity leaders believe that Climate Change is an urgent issue, and 81 per cent agree that they and their portfolio companies should take greater responsibility for their carbon footprint.

Funds affiliated to Lightyear Capital (Lightyear) have agreed to acquire assets from and partner with Schellman & Company (Schellman) in forming a new venture that will set the standard for the delivery of information technology and cybersecurity compliance services.  Going forward, Schellman, a licensed CPA firm, will provide attest services, and Schellman Compliance, LLC, a newly formed entity, will provide non-attest services. Financial terms of the transaction were not disclosed.
