Vista and Elliott-backed Cloud Software seeks $2bn debt refinancing

Cloud Software Group, the enterprise software business backed by Vista Equity Partners and Elliott Investment Management, is seeking to raise $2bn through senior secured notes to refinance debt maturing in 2029, according to a report by Bloomberg.

The company, which owns Citrix and Tibco, has reportedly launched the offering amid subdued leveraged finance activity and growing lender scrutiny of private equity-backed software businesses. US high-yield bond issuance declined 18% year-on-year to $14.6bn in October, while leveraged loan volumes fell more than 10%.

The proposed financing reportedly includes additional investor protections against liability management transactions, reflecting lenders’ increasing caution over software companies’ exposure to disruption from artificial intelligence.

Citigroup is leading the refinancing alongside Goldman Sachs and Vista, with pricing expected this week. The transaction follows Cloud Software’s earlier repayment of an $880m bridge loan used to finance its acquisition of data management business Arctera.
