Middle market private equity firm One Equity Partners (OEP) has acquired Gibson Omni Parent, the company that conducts publicly traded midstream energy company Gibson Energy’s US Environmental Services business.  The business will now be known as OMNI Environmental Solutions (OMNI).   Headquartered in Carencro, Louisiana, OMNI is a provider of environmental services focused on energy customers. Private equity firm IK Investment Partners’ (IK) IK VIII Fund has entered into exclusive negotiations with Equistone Partners Europe (Equistone), Céréa Partenaire, Azulis Capital and the existing management team to acquire a majority stake in Mademoiselle Desserts. The management team will reinvest alongside the Fund.    Established in 1984, Mademoiselle Desserts has grown to become the leading manufacturer of premium frozen industrial finished and semi-finished pastry in Europe. Through its manufacturing sites in France, the UK and the Netherlands and highly experienced teams, the Group works closely with its customers to develop bespoke desserts to the highest food standards.   
Clearwater International UK has advised Synova Capital and members of the management team of Mandata, the provider of transport management software, on the GBP20 million sale of the business to private equity firm LDC. Mandata designs and develops software that allows road transport operators to manage workflow and data more effectively. Its transport management system integrates a suite of end-to-end products, including traffic planning and management, tracking, telematics, and invoicing. An affiliate of middle market private equity firm Gemspring Capital has acquired a controlling interest in, and provided additional growth capital to A10 Capital, a provider of middle-market commercial real estate loans. The investment has been made alongside Schroders, a global asset manager. Existing A10 shareholders, including HIG Capital, and management, will be retaining significant minority equity interests in the Company.   Concurrent with the investment, Schroders and A10 have entered into an agreement through which Schroders will benefit from A10’s extensive origination network and servicing platform to access middle-market CRE loan opportunities for its clients. C5 Capital, an investment firm focused on cyber security, cloud computing and artificial intelligence, has made a USD35 million investment in IronNet Cybersecurity. Churchill Asset Management (Churchill), a provider of senior and unitranche debt financing to middle market companies, has closed a USD300 million leveraged loan fund, Churchill Middle Market CLO IV Ltd.  The seven-year Fund is comprised of: a USD200 million AA DBRS-rated senior revolving credit facility; USD55 million of “A”-, “BBB”- and “BB”-rated mezzanine notes; and, USD45 million of un-rated Subordinated notes. Italian private equity firm Clessidra SGR is to acquire the entire share capital of Scrigno Group. Based in Rimini, Scrigno is a manufacturer and distributor of counter-frames for pocket doors and windows worldwide. The company also manufactures and distributes armoured doors following the recent acquisition of Master, a company based in Piacenza.   Scrigno operates in over 20 countries in the world through commercial subsidiaries, besides Italy, in France, Spain and the Czech Republic. A renewable energy infrastructure fund managed by Impax Asset Management (AIFM), has completed the sale of the 36MW Dromadda More wind farm in County Kerry, Ireland to Greencoat Renewables PLC for an undisclosed amount. The fund acquired the project to develop 11 turbines on the site in 2015 from a local developer. The project was constructed using 3.3MW Vestas V112 turbines, some of the largest to be installed in the country to date.   Funding for construction comprised Fund equity and third party non-recourse project finance. Noerr has assisted Bayer AG with the sale of further crop science businesses worth up to EUR1.7 billion to BASF. Teams from Noerr’s Digital Business and Corporate/M&A practice groups advised the group on the sale of its global digital farming division. The overall package also includes the worldwide vegetable seed business and certain seed treatment agents. In return for selling its digital farming division, Bayer will receive a grant-back licence for certain digital farming applications.
